At the closing, the new governance structure of Città di Roma was defined, with the appointment of the following Directors and Auditors:
Mr. Mariano Garofalo (Chairman);
Mrs. Maria Laura Garofalo (Director);
Mrs. Claudia Garofalo (Director);
Mr. Piergiuseppe Bagnera (Single Auditor).
The new General Manager of the facility, Mrs. Raffaella Ferradini, was also introduced, professional with 13 years of experience in the management and organization of companies operating in the accredited private healthcare sector. She is also competent in administrative accounting processes, thanks to her decennial experience as a senior manager specialized in auditing and consulting at a leading company in the industry.
The new governance will facilitate the timely implementation of a major reorganization plan for the activities provided by the various facilities, the first phase of which will involve, already since spring 2026, the effective repositioning of Casa di Cura Città di Roma and European Hospital facilities. More specifically, this will involve the reorganization and reallocation of the individual departments of the two facilities, allowing each facility to focus on unique and distinctive areas while avoiding duplication of activities and, consequently, costs. Casa di Cura Città di Roma will become a post-acute care facility with 80 dependency care beds and 52 rehabilitation beds, as well as two hemodialysis rooms and a specialist outpatient center that will operate under both accredited and private regimes.
Overall, as a result of the acquisition the GHC Group will strengthen its competitive position in the Lazio Region, qualifying itself as an integrated operator capable of covering all the main healthcare and social assistance needs of the territory in an effective and efficient manner.
The Equity Value of the transaction is €15.2M, substantially lower than just the value of the Real Estate assets of the Target, with a total area of approx. 8,000sqm.
The Enterprise Value is equal to approximately €20.7M.
The acquisition has been financed through own resources and with recourse to bank financing, as GHC has the availability of a Capex Line for new acquisitions granted to the Group in 2024 by a pool of leading national and international financial institutions (UniCredit, Banco BPM, BNL BNP Paribas, Monte dei Paschi di Siena, Cassa Depositi e Prestiti).
