DECISIONS OF THE BOARD OF DIRECTORS MEETING

We are pleased to inform you that the Board of Directors of Ghani Chemical Industries Limited (GCIL/the Company) has also made the following decisions at its meeting held today (Tuesday, April 28, 2026) at 11:30 a.m. at the Company's registered office:
Approved the equity investment of Rs. 1,863 million by GCIL in GHG Emissions Mitigation Limited (GEM, one of the associated company, witha 49a shareholding by GGL and a 51$ shareholding by Marr Energies Limited) for the establishment of a first-of-its-kind project in Pakistan to capture and process cold-vent/exhaust gases from SGPC (Sachal Gar Processing Complex) for the production of 80,000 tons pe* annum of liquefied natural gas (LNG) and 55,000 tons per annum of industrial and f-ood-grade carbon dioxide (CO2), subject to the approval of the Company's shareholders.To hold an Extra-Ordinary General Meeting (EOGM) of shareholders of the Company on Tuesday, }une 02, 2026, at Lahore for obtaining the approval of the above-stated decision.

closed from 26° May 2026 to 02s June 2026 (both days inclusive).
2. In accordance with the Employee Stock Option Scheme (ESOS) approved by the shareholders of the Company, the Board has granted stock option equivalent to 5,704,519 ordinary shares (representing lS of the paid-up capital) to eligible employees of the Company under the ESOS at an exercise price of PKR 29.95 per share. The minimum vesting period for these stock options shall be one {1) year, followed by an exercise period of one (1) year thereafter.
