To The Board of Directors of Genesys International Corporation Limited

  1. We have reviewed the accompanying Statement of standalone unaudited financial results of Genesys International Corporation Limited (hereinafter referred to as 'the Company') for the quarter ended September 30, 2025 and the year to-date results for the period from April 01, 2025 to September 30, 2025 ('the Statement') attached herewith, being submitted by the Company pursuant to the requirements of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended ('the Regulations').

  2. This Statement, which is the responsibility of Company's Management and has been approved by the Company's Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in indian Accounting Standard 34 'Interim Financial Reporting', prescribed under Section 133 of the Companies Act, 2013 ('the Act'), read with relevant rules issued thereunder ('Ind AS 34'), and other recognised accounting principles generally accepted in India, and is in compliance with the Regulations. Our responsibility is to express a conclusion on the Statement based on our review.

  3. We conducted our review of the Statement in accordance with the Standard on Review Engagement (SRE) 241 0, "Review of Interim Financial Information Performed by the Independent Auditor of the Entity" issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytica[ and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing specified under section 143(10) of the Act and consequently does not enable us to obtain assurance that we would become aware of all signif1cant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.

  4. Based on our review conducted as stated in paragraph 3 above, nothing has come to our attention that causes us to believe that the accompanying Statement prepared in accordance with the recognition and measurement principles laid down in Ind AS 34 and other recognised accounting pnnciples generally accepted in India, has not disclosed the information required to be disclosed in terms of the Regulations including the manner in which It is to be discosed, or that it contains any material misstatement.

The Statement has been prepared in accordance with I:he recognition and measurement principles laid down in Ind AS 34 'Interim financial Reporting', prescribed under Section t33 of the Companies Act, 3013, as amended, read with relevant rules there under and in terms of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations 20 15 as amended.

2 The unaudited standalone financial results for If+e quarter and half year ended 30 September 2025 were reviewed by the Audit Committee and approved by the Board of Directors of Genesys International Corporation Limited ('the Company') at their respective meeting held on November 13, 2025 and are available on the company's website and BSS (https://www.bselndia.com) and NSE (www. nselndfa.com) The statutory auditor of the company have carried out limited review on rhe above results In terms of regelation 33 of the SEBT (ListingObligation and Disclosure Requirements) Reg elations, 20t 5 ('the Regulation') as amende's and expressed an unmodified review conclusion.

On 17th Nay 2025. the Company has, by way of Qualified Tnstitutional Placement (QIP) in accordance with SEet (Issue of Capital and Disclosure ftequirements) Regulations, TOt8, as amended and section 42 and 62 of the Companies Act , 20j3, allowed 17,39,62d equify shares of face value of Y 5 per share at a price of T 632.32 per share, aggregating to 7 I 1,000 lakhs.

The funds raised by the Company pursuant to QIP have been partially utilized in accordance with the 'Use of Proceeds' mentioned in the placement document of QZP for tlae period ended 30th September, 2025 and unutllized balances as at 30th September, 2025 have been temporarily Invested.

The Company operate in single operating segment l.e. GU based services, Accordingly, the Company has only one reportable seqment and disclosure as per IND AT 108 'Operaling Segment' are not applicable.

Previous period figures have been re-grouped / re-classified, wherever necessary.

We have reviewed the accompanying Statement of consolidated unaudited financial results of Genesys International Corporation Limited (hereinafter referred to as 'the Holding Company'), its subsidiaries, (the Holding Company and its subsid1aries together referred to as the 'Group') for the quarter ended September 30, 2025 and the year to-date results for the period from April 01, 2025 ro September 30, 2025 ('the Statement'), attached herewith, being submitted by the Holding Company pursuant to the requirements of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ('the Regulations').

  2. This Statement, which is the responsibility of the Holding Company's Management and has been approved by the Holding Company's Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 'Interim Financial Reporting', prescribed under Section 133 of the Companies Act, 2013 ('the Act'), read with relevant rules issued thereunder ('Ind AS 34') and other recognised accounting principles generally accepted in India and is In compliance with the Regulations. Based on our review conducted and procedures performed as stated in paragraph 3 above and based on the consideration of the review reports of the other auditor referred to in paragraph 6, nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with the recognition and measurement principles laid down in Ind AS 34 and other recognised accounting principles generally accepted in India, has not disclosed the information required to be disclosed in terms of the Regulations, including the manner in which it is to be disclosed, or that it contains any material misstatement.

We did not review the interim financial information of one subsidiary located outside India included in the Statement, whose interim financial information reflect total assets of Rs. 6,786.73 Lakhs as at September 30, 2025 and total revenues of Rs. 893.27 Lakhs, total net profit/(loss) after tax of Rs. 226.68 Lakhs and (Rs. 413.03) Lakhs and total comprehensive income/(loss) of Rs. 226.68 Lakhs and (Rs. 413.03) Lakhs, for the quarter ended September 30, 2025 and for the period from April 01, 2025 to September 30, 2025, respectively, and net cash outflows of Rs. 18.64 Lakhs for the period from April 01, 2025 to September 30, 2025, as considered in the Statement. This interim financial information has been reviewed by other auditor whose report have been furnished to us by the Management and our conclUs1on on the Statement, in so far as it relates to the amounts and disclosures included in respect of this subsidiary, is based solely on the report of the other auditor and the procedures performed by us as stated in paragraph 3 above.

    Our conclusion is not modified in respect of the above matter with respect to our reliance on the work done by and report of the other auditor.

  7. The subsidiary located outside India, whose interim financial information has been prepared in accordance with the accounting principles generally accepted in their respective country and which has been reviewed by other auditor under generally accepted auditing standards applicable in their respective country. The Holding Company's Management has converted the interim financial information of such subsidiary, located outside India from accounting principles generally accepted in their respective country to accounting principles generally accepted In India.

We have reviewed these conversion adjustments made by the Holding Company's Management. Our conclusion on the Statement, in so far as it relates to the interim financial information of such subsidiary located outside India is based on the report of other auditor and the conversion adjustments prepared by the Management of the Holding Company and reviewed by us.

Our conclusion is not modified in respect of the above matter.

Notes to unaudited consolidated financial results for the quarter and hair year ended 30 September 2025:

The Unaudited consolidated financials results of Genesys International Corporation Limited ('the parenc company') arid Its subsidaries (togecher referred as 'Group') have been prepared in accordance with Indian Accounting Standards (Tnd AS) notified under section 133 of the Companies Act, 2013, read together with the companies (Indian Accounting Standards) Rules 2015 (as amended} and other accounting principles generally accepEed in india and in compliance w+th Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements), 2015 as amended.

2 The unaudited consolidated financial results for the quarter and half year ended 30 September 2025 were reviewed by the Audit Committee and approved by the Board of Directors of Genesys International Corporation Limited ('the Company') at their respective meeting held on November 13, 2025 and are available on the company's website and BSE (https://www.bseindia.com) and NSE (www. nseindia. com) The statutory auditor of the company have carried our lim ited review on tlne above results in terms of regulation 33 ofl the SEBI (Listing Obligation and Disclosure Requirements} Regulations, 201 $ ('the Regulation') as amended and expressed an unmodified review conclusion.

On 17th Play 2025, the Parent Company has, by way of Qualified Institutional Placement (QIP) in accordance with SEBI (Zssue of Capita) and Disclosure Requirements) Regulations, 20 GB, as amended and section 42 and 62 of the Companies Act, 2013, alloted 17,39,625 equity shares of face value of T 5 per share at a price of T 632.32 per share, apgregatinp to T z 1, 000 lakhs.

The funds raised by the Company pursuant to QZP have been partially utilized in accordance with tfie 'Use of Proceeds' mentioned in the placement document of QIP for the period ended 30tfi September, 2025 and unutilized balances as ar 30th September, 2025 have been temporarily invested.

The Group operate Tn single operating segment i.e. GIS based services, According Iy, the Group has only one reportable segment and disclosure aS per AND AS 108 'Operating Segment' are not applicable.
