Richter Gedeon Plc. announces that the performance criteria of the share remuneration linked to the Company's performance in 2025 approved to the benefit of the members of the Board of Directors of the Company for the year 2025 within the framework of the resolution of the AGM No. 15/2025.04.29, have been met in 100%. With respect to this, on 14 May 2026 the Company transferred a total number of 18,004 shares to the members of the Board of Directors listed below, in the splitting according to the followings:

* The mandate of István Hamecz and László András Kovács, as members of the Board of Directors, did not last for a full calendar year in the calendar year 2025. With respect to this and according to the regulation set in Section 3.1.3. of the Company's Remuneration Policy for years 2025-2028, István Hamecz and László András Kovács are entitled only to the pro rata share of the share remuneration determined to the whole calendar year of 2025 (01.01.2025 - 31.12.2025) calculated in accordance with the term of exisistence of their membership in the Board of Directors.
After the transaction the number of the Company's treasury shares is 3,500,017; the total number of Company shares at Group level held in Treasury is 3,500,017.
The difference between the number of the Company's treasury shares disclosed in present announcement compared with the number of Company's treasury shares published on 4 May 2026 in the announcement regarding the composition of share capital and number of voting rights attached to the shares of the Company on 30 April 2026, is arising from 626 shares taken back altogether in May until this day by Gedeon Richter Plc. from Company employees whose employment relationship was terminated, because of share returning obligation stated in the Company's Programme related to employee share bonuses.
