Press release Nootdorp, 30 April 2026 Fugro identifies voting registration error affecting AGM resolution Fugro considers resubmission of AGM proposal In its press release of 23 April 2026, Fugro reported that at its 2026 annual general meeting of shareholders, the proposal to authorise the Board to limit or exclude pre-emption rights in respect of share issuances (item 8b) was not adopted. Fugro has since established that the required shareholder support was in fact available, but that the proposal was voted down as a significant number of votes were registered incorrectly due to an external error. An investigation has established that 16,795,462 votes, representing approximately 39% of the capital represented at the meeting, were incorrectly recorded as votes against the proposal, whereas the underlying voting instructions were to vote in favour. Had these votes been correctly passed on to the vote collector, the proposal would have been adopted with the required two-thirds majority. The same error affected the vote on items 7b and 8a. As those proposals did not require an enhanced majority, they were nonetheless adopted. Fugro is considering its options to address the matter and is evaluating the possibility of resubmitting the proposal to an extraordinary general meeting of shareholders for approval.
