Arzignano (VI), 23 April 2025 - Franchetti S.p.A. ("Franchetti" or the "Company" or the "Group," Ticker BIT: FCH), the parent company of the multinational software development and engineering design Group of the same name for the safety and predictive planning of maintenance for network infrastructure, particularly bridges and viaducts, with reference to the Shareholders' Meeting scheduled for 30 April 2025, announces that the

lists for the appointment of the Board of Directors and the Board of Statutory Auditors

of the Company have been filed, within the terms provided for by the Articles of Association, accompanied by the documentation required by the Articles of Association pursuant to applicable laws and regulations.

The shareholder Franchetti Holding S.r.l., owner of 93.17% of the voting share capital of Franchetti S.p.A., presented the following list of candidates for the office of members of the Board of Directors:

2. Michele Frizzarin
3. Rony Hamaui
4. Remy Cohen
5. Davide Croff (Independent)

The candidate Davide Croff declared that he meets the requirements to be qualified as an independent director.

The shareholder Franchetti Holding S.r.l. has also submitted a list of candidates for the

renewal of the Board of Statutory Auditors of the Company:

2. Luigi Solinas (Effective)

It should also be noted that since the certificate pursuant to Article 2444 of the Civil Code was registered on 22 April 2025 with the Register of Companies. relating to the execution of the share capital increase approved on 24 March 2025, the composition of the share capital is confirmed as per the press release of 11 April 2025.
