Furthcr to our previous material information disclosure made along with the financial results for the year ended June 30. 2025, dated September 25, 2025, wherein the Board ofDircctors ofFccto Cement Limited, in thcir meeting hcld on Septcmbcr 25, 2025, at 12:00 p.m. at the Registcrcd Office of the Company in Karachi, had approved the sale of its land classified as "Investment property" to Mls Faisal Toms (Private) Limited, having a total covered area of 124.625 kanals, located near Islamabad International Airport, Airport Avenue Road, Laundi, Thalian, Rawalpindi.
The sale was subsequcntly approved and adopted by the members through a special resolution passed under Section 183(3)(a) of the Companies Act, 2017. at the 44th Annual Gcneral Meeting hcld on October 27. 2025, at 12:00 p.m. at Southend Club, Karachi. It was furthcr resolved that the Chief Executive Officer. Executive Dircctor. ChiefFinancial Officer. and Company Secretary arc authorixed to finalize, cxccutc, and sign all necessary documents and agTccments in connection with the said transaction.
We now wish to inform that the sale of the land has been completed along with the realization of sale proceeds by the Company.
A disclosure form as required under S.R.O. 143(1)/2012 dated Decembcr 5. 2012 read with Section 131 of the Securities Act. 2015 is also encloscd as Annexure A.
