Subject: Resignations and Appointments of Independent Directors and Chairman of Board
Dear Sir,
This is to inform you that Mr. Aamir Ghani and Mr. Mohammad Anwar Habib have resigned from the office ofIndependent Directors ofthe Company, including the relevant Chairmanship of the Doard and Committees, respectively, with effect from January 14, 2026.
Consequent upon the above, the Board ofDirectors has appointed Mr. Safdar Abbas Morawala and Mr. Ahmed Mujtaba Memon as Indcpcndent Directors of the Company with effect from January 14, 2026.
The aforcsaid Independent Directors have been appointed from the Data Bank of Indcpcndent Dircctors in compliance with the requirements of Section 166 of the Companies Act, 2017.
Both the Independent Directors shall hold office for the rcmainder of the existing term.
Further, it is also informed that Mr. Jamil Ahmed Khanhas been appointed as the Chairman of the Board in place of Mr. Aamir Ghani, with cffcct from the same date.
