Jakarta, August 12, 2025 - PT XLSMART Telecom Sejahtera Tbk ("Company") today held an Extraordinary General Meeting of Shareholders -EGMS ("The Meeting"). The Meeting, which was also conducted in a hybrid format , approved a single primary agenda item, a change in the composition of the Company's Board of Directors, aimed at strengthening the organizational structure following the merger completed in April 2025. Rajeev Sethi, President Director & CEO of XLSMART , stated," The appointment of a new director is a strategic step to ensure the integration process runs effectively and delivers optimal synergies." "Following the merger, we have achieved a larger commercial scale and an expanded customer base. Therefore, it is essential to reinforce our leadership team to ensure the integration agenda is carried out in a targeted and measurable manner, and aligned with the Company's long-term strategy," said Rajeev Sethi. Shareholders approved the appointment of Sanjay K. G. A. Vaghasia as Director of the Company, effective from the close of the Meeting until the conclusion of the Annual General Meeting of Shareholders for the 2029 financial year. The appointment was based on the recommendation of the Nomination and Remuneration Committee dated June 13, 2025, which considered Sanjay Vaghasia 's more than three decades of experience in the global telecommunications industry, including strategic roles in Australia, Central Europe, the Middle East, and Asia. Before joining XLSMART , Sanjay served as Chief Integration Officer at Indosat Ooredoo Hutchison (2021-2024). He has also held key positions at Ooredoo Maldives, Banglalink Digital Ltd. Bangladesh, and Ooredoo Myanmar . Since July 1, 2025, Sanjay has served as Chief Integration Officer at XLSMART . His educational background-a Bachelor of Engineering in Communication and Electronics from Northumbria University, United Kingdom, further strengthens his technical competence in supporting the Company's business transformation. With the approval of Sanjay K. G. A.
