European Lithium Limited (ASX: EUR, FRA:PF8, OTC: EULIF) (European Lithium or the Company) advises that the Company lodged a prospectus with ASIC on 9 April 2025 (Prospectus) in respect of an offer to all registered holders of EUROB Options on 31 March 2025 (Record Date) with a registered address in Australia and the UAE (Registered Holders) of one (1) option (New Option) for every one (1) EUROB Option held on the Record Date (Options Offer) at an issue price of $0.002 and an exercise price of $0.10 per New Option, expiring on 30 April 2027 to raise funds of up to $446,154 (before costs).
The Company advises that a letter and personalised Entitlement and Acceptance Form has been dispatched today regarding the Options Offer to eligible shareholders in accordance with the indicative offer timetable as set out in the Prospectus. The Prospectus includes details on how eligible Registered Holders may accept the Options Offer. The Options Offer will open today, 11 April 2025 (Opening Date) and is scheduled to close at 5:00pm (WST) on Wednesday 30 April 2025 (Closing Date) (unless extended). To the extent that the Options Offer is not fully subscribed by Registered Holders and a shortfall remains following completion of the shortfall offer, the Directors of the Company have each agreed to underwrite the Options Offer, subject to the Company obtaining shareholder approval at an upcoming general meeting.
