THE PROTOCOL OF THE MERGER BY INCORPORATION OF ITS WHOLLY OWNED SUBSIDIARY BABELEE S.R.L. INTO DOXEE S.P.A. HAS BEEN FILED WITH THE COMPANIES REGISTERS OF MODENA AND MILAN

Doxee S.p.A. (DOX: IM) - The leading multinational provider of high-tech Customer Communications Management (CCM), Digital Customer Experience and Paperless solutions - following its notice of September 26, 2024, announces that it has today filed the protocol of merger by incorporation into Doxee S.p.A. ("Doxee", "Company" or "Incorporating Company") of its wholly owned subsidiary Babelee S.r.l. ("Babelee" or "Incorporated Company") with the competent Companies Registers of Modena and Milan, as approved by their respective Boards of Directors on September 26, 2024 and drawn up pursuant to Article 2501-ter, par. 3 and 2505 of the Italian Civil Code (the "Merger Protocol").
Since the merger concerns a wholly owned subsidiary - given that the Incorporating Company currently holds (as it will at the time of the merger) a share amounting to the total share capital of the Incorporated Company - it has been decided that the decision regarding the merger will be made: (i) for Doxee's part, by the Board of Directors with notarized minutes, as required by its Articles of Association, and (ii) for Babelee's part, by an Extraordinary Shareholders' Meeting.
Pursuant to Article 2505, par. 3 of the Civil Code, Doxee shareholders holding at least 5% of the Company's share capital have the right to request, on application to the Company within 8 (eight) days of the filing of the Merger Protocol with the competent Companies Register, that the merger decision be taken by an Extraordinary Meeting of the Company's Shareholders called for the purpose.
Any shareholders intending to avail themselves of said right must, within eight days of the filing, submit an application to Doxee, complete with certification of their holding in the Company, in writing to the Company's head offices at 41123 Modena, viale Virgilio 48/b, to the attention of the Chairman of the Board of Directors, Mr. Paolo Cavicchioli, or by certified email to doxee@pec.it.
Note, furthermore, that pursuant to Article 2501-septies of the Civil Code, the Merger Protocol, together with the last three annual financial statements of Doxee and Babelee, are available to the public at the company's head offices and on Doxee's website www.doxee.it, under Investor Relations/ Operazioni Straordinarie/Fusione Babelee (Investor Relations/Extraordinary Operations/Babelee Merger).
