Discovery World Corporation's ("DWC" or the "Company") Board and stockholders' approved the issuance of 38,000,000 common shares (the "Private Placement Shares") at the subscription price of Php 2.00 per share, for a total transaction value of Php 76,000,000.00 to JT Perle Corporation ("Subscriber"). The Private Placement Shares were issued to the Subscriber on April 15, 2020.
As of March 4, 2022, the Company has complied with all applicable requirements for the listing of the Private Placement Shares. The number of DWC's listed common shares will be accordingly adjusted on listing date.
