1G January 2026 discoverIE Group plc Update Statement on 2025 Annual General Meeting At the Company's 2025 Annual General Meeting, held on 24 July 2025, all resolutions were passed with the requisite majority. However, the Company received more than 20% of votes cast against Resolution 13 (Additional Authority to allot shares) and Resolution 16 (Additional authority to disapply pre-emption rights). Since the AGM, in accordance with provision 4 of the UK Corporate Governance Code, the Board has engaged with the relevant shareholders to understand and discuss their views with respect to these resolutions. Feedback from shareholders who voted against Resolution 13 and Resolution 16 indicated that their decision was primarily due to a general desire to avoid equity dilution of greater than a certain amount, without specific shareholder approval. Whilst the Board fully respects and acknowledges that a shareholder may choose to vote against specific resolutions, the Board considers all the resolutions proposed at the AGM to be in the best interests of all shareholders. Regarding the issuing of equity and the need for such resolutions, the rationale for these resolutions was set out within the AGM notice. It is standard practice for companies to include such resolutions and the Company has proposed these resolutions regularly, in line with Investment Association guidelines.
