DIRECTORATE CHANGE OCADO GROUP PLC 3 February 2026 Ocado Group plc Director Declaration Ocado Group plc (" Ocado " or the " Company ") announces that Stephen Daintith, Chief Financial Officer (" CFO ") of the Company, has been appointed as a Non-Executive Director of Kingfisher plc (" Kingfisher ") with effect from 1 April 2026. Upon appointment, Stephen will also join Kingfisher's Audit Committee and Nomination Committee. Stephen is also a Non-Executive Director and Chair of the Audit Committee of 3i Group plc, where he has served for the past nine years. The Board of Directors (the " Board ") has reviewed the appointment, including the expected time commitment, and is satisfied that Stephen will continue to devote sufficient time to the effective performance of his duties as CFO of Ocado. The Board believes that the cross-sector retail and investment experience Stephen gains from being a Non-Executive Director provides significant strategic value to Ocado.
