Dividend Announcement
The General Meeting of DATA MODUL Aktiengesellschaft Produktion und Vertrieb von elektronischen Systemen on 11 May 2026 resolved to distribute from the net profit for the financial year 2025 in the amount of EUR 72,326,567.60 a dividend of EUR 0.12 per share on the 3,526,182 non-par value shares entitled to dividend (amounting to a total of EUR 423,141.84), to transfer an amount of EUR 40,000,000 to other retained earnings, and to carry forward an amount of EUR 31,903,425.76 to new account.
Paying agent is Commerzbank AG, Frankfurt a.M., with all its branches.
The dividend will be paid from 14 May 2026 onward, in general after deduction of 25% withholding tax and a 5.5% solidarity surcharge on the withholding tax (in total 26.375%) and, if applicable, church tax on the withholding tax. Payment of the dividend will be effected by the depository banks via Clearstream Banking AG.
The withholding tax and the solidarity surcharge will not be deducted from payments to tax resident shareholders who have submitted to their depositary bank either a non-assessment certification ("Nichtveranlagungsbescheinigung") or a tax exemption form ("Freistellungsauftrag") with sufficient exemption volume.
In case of non-tax resident shareholders, the withholding tax, including the solidarity surcharge, may be reduced on submission of an application in accordance with an applicable double taxation treaty between the Federal Republic of Germany and the respective country.
