TORONTO, Aug. 29 /CNW/ - Constellation Software Inc. (TSX:CSU) (the "Company") announced today that it has filed with the Ontario Securities Commission a notice declaring its intention to be qualified under National Instrument 44-101 Short Form Prospectus Distributions. Pursuant to the amended and restated registration rights agreement (the "Registration Rights Agreement") between the Company and certain of its shareholders dated May 15, 2006, certain holders of Registrable Securities (as defined in the Registration Rights Agreement) holding not less than 10% of the issued and outstanding Common Shares and Class A Non-Voting Shares of the Company may, in certain circumstances, require the Company to file a prospectus under applicable Canadian securities laws to qualify the distribution of the Registrable Securities. Other holders of Registrable Securities have certain rights to piggy back on such a distribution. A copy of the Registration Rights Agreement is available at www.sedar.com. However, there can be no assurances that the Company or its shareholders will choose to file a prospectus or otherwise utilize the short form prospectus filing system.
