NSB RETAIL SYSTEMS PLC ('NSB')
Recommended Cash Offer (the 'Offer') for Real Time Control
plc ('RTC')
Compulsory acquisition of outstanding RTC Shares
NSB now owns or has received valid acceptances in respect of
the Offer for RTC in respect of more than 90 per cent. of
the RTC Shares to which the Offer relates.
Accordingly, NSB has today given notice to those RTC
Shareholders who have not yet accepted the Offer informing
them that NSB will compulsorily acquire their RTC Shares
under the provisions of sections 428 to 430 of the Companies
Act 1985. The Offer remains open for acceptance.
NSB will apply for the cancellation of RTC's listing on the
Official List to be effective from Wednesday 12 April 2000.
