— U.S. OTC Listing Platform and Antibiotic-Free Agriculture Assets Explore
Cross-Shareholding and Industrial-Capital Synergy —
DALLAS / SHENZHEN, October 11, 2026 — China Health Management Corp. (OTC: CNHC) and
Sante Technology Holdings Inc. (OTC: SNTE) today announced the signing of a Strategic
Cooperation Agreement to collaborate on bio-agriculture industrialization, cross-border
capital-market support, and future reciprocal equity investment.
Pursuant to the Agreement, CNHC will provide Sante Technology's operating affiliates —
Shenzhen Duogao Biotechnology Co., Ltd. and Shijiazhuang Guangwei Agriculture and Animal
Husbandry Co., Ltd. — with overseas listing-platform positioning, investor-relations
coordination, and international brand building for bio-feed and premium meat products.
CNHC will also explore connecting Sante Technology's agricultural bio-economy assets with
U.S. OTC capital markets and global protein-food distribution channels.
Sante Technology brings a comprehensive technology system spanning breeding, bio-feed R&D,
and livestock disease control, anchored by a "full-cycle antibiotic-free farming system"
covering no antibiotics at source, disease resistance through animal constitution,
antibiotic reduction during production, and antibiotic-free terminal products. Its North
China base (Guangwei Agriculture) operates at the 300,000-ton annual bio-feed capacity
level, creating North-South synergy with Duogao Biotech. Sante Technology has also
developed motion-nutrition peptides and targeted nutritional-regulation premium meat
products with strong commercialization potential.
Beyond operational collaboration, the parties agreed to explore a cross-shareholding
arrangement at an appropriate future date. Subject to U.S. securities laws and OTC Market
rules, upon Sante Technology's applicable entities achieving agreed revenue/net-profit
thresholds for two consecutive fiscal years, and following respective approvals and receipt
of U.S. securities-counsel compliance opinions, the parties will discuss a reciprocal
common-stock exchange. The share-swap window remains open for 24 months from the
Agreement's effective date.
CNHC CEO stated: "Sante Technology's antibiotic-free farming and bio-feed assets are
precisely the kind of entity-backed agricultural technologies that a U.S. OTC platform
can help scale internationally."
SNTE CEO stated: "CNHC's listing platform and cross-border capabilities will accelerate
our commercialization of antibiotic-free farming technologies and premium protein products."
The Agreement is non-binding and framework in nature. Specific projects will be governed
by separate definitive contracts.
