¶ 1 Pacific Software, Inc. (Pacific Software) is an OTC reporting issuer under BC Instrument 51-509 Issuers Quoted in the U.S. Over-the-Counter Markets (BCI 51-509).
¶ 2 Pacific Software has not filed:
1. a copy of a news release disclosing:
(a) the change in control and management effective December 3, 2009, and
(b) the letter of intent dated December 29, 2009 between Pacific Software and Atlantis Internet Group Corp.,
as required under Part 7 of National Instrument 51-102 Continuous Disclosure Obligations (NI 51-102) and section 5(b) of BC Instrument 51-509,
2. a copy of its Form 8-K Current Report:
(a) dated August 26, 2009 that it filed with the United States Securities and Exchange Commission (SEC) on December 18, 2009, and
(b) dated August 26, 2009 that it filed with the SEC on January 5, 2010,
as required under section 11.1 of NI 51-102 and section 5(b) of BCI 51-509, and
3. a copy of the Form 8-A For Registration of Certain Classes of Securities pursuant to Section 12(b) or (g) of the Securities Exchange Act of 1934 that it filed with the SEC on June 10, 2009, as required under section 7 of BCI 51-509,
(the required records).
¶ 3 Under section 164(1) of the Act, the Executive Director orders that all trading in the securities of Pacific Software cease until:
1. it files the required records, completed in accordance with the Act and rules, and
2. the Executive Director makes an order under section 171 of the Act revoking this order.
