Cease Trade Order Quest Oil Corporation Section 164 of the Securities Act, R.S.B.C. 1996, c. 418 ¶ 1 Quest Oil Corporation (Quest Oil) is an OTC reporting issuer under BC Instrument 51-509 Issuers Quoted in the U.S. Over-the-Counter Markets (BCI 51- 509). ¶ 2 Quest Oil has not filed: 1. interim financial statements for the financial period ended June 30, 2009, as required under Part 4 of National Instrument 51-102 Continuous Disclosure Obligations (NI 51-102) and section 5(b) of BCI 51-509, 2. a Form 51-102F1 Management’s Discussion and Analysis for the period ended June 30, 2009, as required under Part 5 of NI 51-102 and section 5(b) of BCI 51-509, 3. a copy of a news release and a material change report disclosing: (a) the resignation of Quest Oil’s former directors and officers, James B. Panther II and Mark L. Baum, on May 15, 2009, (b) the Share Exchange Agreement with Independence Energy Corporation on July 22, 2009, whereby Quest Oil acquired all of the shares of Independence Energy Corporation in exchange for shares of Quest Oil’s Series C Preferred Stock, and (c) the appointment of Jason Bleuler as Chief Executive Officer on July 22, 2009, as required under Part 7 of NI-102 and section 5(b) of BCI 51-509, and 4. a copy of the following documents that Quest Oil filed with the United States Securities and Exchange Commission: (a) Form 15 Certification and Notice of Termination of Registration under section 12(g) of the Securities Exchange Act of 1934 or Suspension of Duty to File Reports under Sections 13 and 15(d) of the Securities Exchange Act of 1934 dated May 15, 2009 and filed May 29, 2009, and (b) Form 8-K Current Report dated May 15, 2009 and filed May 29, 2009 as required under section 11.1 of NI 51-102 and section 5(b) of BCI 51- 509, (the required records). ¶ 3 Under section 164(1) of the Act, the Executive Director orders that all trading in the securities of Quest Oil cease until: 1. it files the required records, completed in accordance with the Act and rules, and 2. the Executive Director makes an order under section 171 of the Act revoking this order. ¶ 4 November 13, 2009 Martin Eady, CA Director Corporate Finance
