Canadian Equipment Rental Fund Limited Partnership agrees to issue units for debt

CALGARY, Nov. 28 /CNW/ - Canadian Equipment Rental Fund Limited
Partnership ("CERF LP") has entered into an agreement with Timberwolf
Technologies Inc. ("TTI") whereunder CERF LP has agreed to issue to TTI
limited partnership units of CERF LP ("Units") in full and final payment and
satisfaction of the principal amount of $500,000 owing by CERF LP to TTI (the
"Debt"). The deemed price per Unit is $2.50 and an aggregate of 200,000 Units
will be issued (collectively, the "Units for Debt Transaction"). The Debt was
initially incurred by CERF LP in connection with the purchase of its business
from TTI (then named 4-Way Equipment Rentals Ltd.) on June 21, 2005.
TTI is a private Alberta Corporation controlled by Mr. Wayne Wadley. Mr.
Wadley is also the President and Chief Executive Officer of CERF GP Corp., the
general partner of CERF LP.
The completion of the Units for Debt Transaction is subject to the
approval of the TSX Venture Exchange.
