Parex Resources has completed the acquisition of Frontera Energy’s Colombian exploration and production business in a transaction valued at up to $750mn , including assumed debt, strengthening its position as the largest independent oil and gas producer focused on Colombia , the companies reported. The deal includes an initial cash payment of $500mn , financed through Parex’s recent senior unsecured notes issuance, the assumption of net debt and a potential additional payment of $25mn tied to a contract extension within 12 months. Frontera said the overall transaction value reached $750mn , including assumed liabilities. The acquisition adds approximately 37,000 barrels of oil equivalent per day (boe/d) of production to Parex’s portfolio, supporting its previously disclosed second-half 2026 production guidance of 82,000-91,000 boe/d. Parex also said the transaction expands its acreage position to more than 7.9mn acres and increases its long-life reserves base. The Calgary -based producer said it expects operational benefits from integrating the acquired assets with its existing portfolio, including enhanced oil recovery programmes, horizontal and multilateral drilling techniques and advanced seismic imaging. The company also pointed to potential efficiencies from portfolio optimisation and a larger operating platform. Parex chief executive Imad Mohsen described the transaction as a strategic milestone that increases scale and capital allocation flexibility while creating opportunities for operational synergies. The company added that the acquisition has an effective date of January 1, 2026 , meaning cash flow generated by the acquired business before closing will reduce the net consideration ultimately paid. For Frontera, the sale marks a shift towards infrastructure assets. Chief executive Orlando Cabrales Segovia said the company is now positioned as a more focused infrastructure business. Frontera retains its 35% interest in Oleoducto de los Llanos Orientales, one of Colombia’s principal crude oil pipelines, and a 99.97% stake in the Puerto Bahia maritime terminal.
