(Stock Code: 1224) CLOSING OF THE SUBSCRIPTIONReference is made to the announcement of the Company dated 23 December 2015 (the "Announcement") in relation to, among other things, the Subscription Agreement. Unless otherwise defined, terms used herein shall have the same meanings as that used in the Announcement.
The Board is pleased to announce that closing of the Subscription took place on 29 December 2015. As agreed between the Issuer, the Purchaser and the Other Subscribers, the Securities do not have, and have been issued without, the conversion feature previously set out in the paragraph headed "Principal Terms of the Subscription Securities" in the Announcement, pursuant to which the Securities are perpetual securities and will not be convertible into ordinary shares of the Issuer subject to the terms of the Subscription Agreement, and the interest rate payable on the Securities has been adjusted from 7.0% per annum to 9.0% per annum. Save for the above amendments and related incidental amendments, all other major terms of the Subscription Agreement remain unchanged.
