Bureau Veritas announces that the Board of Directors, under the chairmanship of Mr. Laurent Mignon , has appointed Mr. Geoffroy Roux de Bezieux as Independent Lead Independent Director, Chairman of the Appointments and Remuneration Committee and Vice-Chairman of the Board of Directors of the Company, replacing Mr. Pascal Lebard who loses his independent status after twelve years of office. The Board of Directors of Bureau Veritas , which met on October 22, 2025 , decided, on the recommendation of the Appointments and Compensation Committee , to appoint, as of December 13, 2025 , Mr. Geoffroy Roux de Bezieux as Independent Lead Independent Director, Chairman of the Appointments and Compensation Committee and Vice-Chairman of the Board of Directors of the Company, and this for the remainder of his term of office as director. Mr. Geoffroy Roux de Bezieux has been an independent director on the Board of Directors since 2023. This appointment replaces Mr. Pascal Lebard who reached twelve years of office on December 13, 2025 and who can therefore no longer be qualified as an independent director within the meaning of the recommendations of the AFEP/MEDEF Code. In addition, the Board of Directors on the same day, on the recommendation of the Appointments and Remuneration Committee , made the following appointments to the Committees of the Board of Directors with effect from December 13, 2025 : Appointment of Mr. Geoffroy Roux de Bezieux as a member of the Audit and Risk Committee ; Appointment of Ms. Julie Avrane as a member of the Appointments and Remuneration Committee .
