Bulgarian-American Credit Bank AD convenes an Extraordinary General Meeting of Shareholders (EGM) on 17 September 2026 at 11:00 AM in Sofia, 2 Slavyanska Str., with the following agenda:
- Approval of transformation through a merger by absorption under Art. 262 of the Commerce Act of Tokuda Bank EAD, UIC 813155318, into Bulgarian-American Credit Bank AD (BACB). Draft resolution: Pursuant to Art. 262o of the Commerce Act and Art. 24, item 3 of the Articles of Association, the General Meeting of Shareholders approves the transformation through a merger by absorption under Art. 262 of the Commerce Act of Tokuda Bank EAD into BACB, as a result of which BACB, as a universal successor, acquires all assets and operations, including all rights and obligations, contractual, legal and factual relationships of Tokuda Bank EAD, and Tokuda Bank EAD ceases to exist and is wound up without liquidation.
The General Meeting of Shareholders notes that, since BACB is the sole owner of the capital of Tokuda Bank EAD, pursuant to Art. 263t (4) of the Commerce Act, no report on the transformation shall be prepared by the Management Board and no expert inspector shall be appointed under Art. 262l of the Commerce Act.
- Approval of a Transformation Agreement under Art. 262d, in conjunction with Art. 262e and Art. 262g of the Commerce Act, executed between BACB AD and Tokuda Bank EAD on 9 June 2026, adopted by the Management Board and the Supervisory Board of BACB and included in the materials on the agenda.
- In the absence of a quorum, the meeting will be held on 1 October 2026 at 11:00 AM at the same venue and with the same agenda.
The voting right will be entitled to all shareholders registered with the central securities register fourteen (14) days before the GMS, i.e., as of 3 September 2026 (Record Date).
The final date for transacting shares of this company on the Exchange, for shareholders to be entitled to exercise their voting rights, will be 1 September 2026 (Ex-Date: 2 September 2026).
