Cease Trade Order
Verde Science, Inc.
Section 164 of the Securities Act, R.S.B.C. 1996, c. 418
¶ 1 Verde Science, Inc. (VRCI) was incorporated in the State of Nevada and its head
office is located in Dallas, Texas. VRCI is a reporting issuer in British Columbia.
¶ 2 VRCI has distributed shares in 2014 (the distributions).
¶ 3 VRCI did not file a preliminary prospectus and prospectus under the Act for the
distributions.
¶ 4 VRCI failed to file Reports of Exempt Distribution for the distributions as
required under National Instrument 45-106 Prospectus and Registration
Exemptions.
¶ 5 Under section 164(1) of the Act, the Executive Director orders that trading in the
securities of VRCI cease until:
1. either:
(a) VRCI files, and the Executive Director receipts, a preliminary
prospectus and prospectus for the distributions, as required under the
Act, or
(b) VRCI files all Reports of Exempt Distribution for the distributions as
required under National Instrument 45-106 Prospectus and
Registration Exemptions, and2. the Executive Director revokes this order.
