Notice of publication of documentation regarding the Shareholders' meeting of April 28, 2026
Pesaro, 27 March 2026 - Biesse S.p.A. ("Biesse" or the "Company"), a company listed on the Euronext STAR Milan segment of Borsa Italiana, announces that, in relation to the Ordinary Shareholders' Meeting convened on April 28, 2026, at 10:00 a.m. (first call) and, if necessary, on April 29, 2026, at 10:00
a.m. (second call), the following documentation has been made available today to the public at the Company's registered office, on the Company's website www.biesse.com (Governance and Investors area - For Investors), and on the authorized storage mechanism "1Info" (www.1info.it):
the Notice of Call, also published as an abstract in the daily newspaper "Libero" today;
the Explanatory Reports of the Board of Directors on the items on the agenda, including the proposed resolutions;
the Draft Financial Statements of the company Bavelloni S.p.A., merged by incorporation, in accordance with current legislation;
the Reasoned Opinion of the Board of Statutory Auditors regarding the proposal to increase the fees for the auditing firm Deloitte & Touche S.p.A.;
the curricula vitae and declarations of acceptance of office (as well as declarations of fulfillment of the requirements prescribed by current legislation) of the candidates for appointment as director pursuant to art. 2386 of the italian civil code.
Notice is also given that the following documents and information have been made available to the public through publication on the Company's website https://www.biesse.com (Governance and Investors section - For Investors section):
the proxy forms and the proxy forms for the Appointed Representative;
information on the amount of share capital and on the voting rights at the date of call.
