Reference is made to BCPG Public Company Limited ("Company") issued and offered the newly issued ordinary shares to existing shareholders of proportionate to their respective shareholdings (Rights Offering) at the offering price of THB 11.50 per share. The Company also issued and offered the warrants to subscribe for the newly issued ordinary shares in the capital increase of the Company without consideration to existing shareholders of the Company who subscribe for and are allocated the newly issued ordinary shares in the Rights Offering (BCPG-W1 and BCPG-W2). The transactions were on 3-6 November 2020 and 9 November 2020. The total amount of purchased shares by the existing shareholders were 249,871,926 shares, equivalent to THB 2,873,527,149.
Additionally, the Company issued and offered the newly issued ordinary shares to private placement with the offering price clearly specified at THB 11.50 per share. The Company also issued and offered the warrants to subscribe for the newly issued ordinary shares in the capital increase of the Company without consideration to investors who subscribe for and are allocated the newly issued ordinary shares in Private Placement with the offering price clearly specified (BCPG- W3). The transactions were on 11 November 2020. The total amount of purchased shares by the private placement were 391,500,000 shares, equivalent to THB 4,502,250,000. After deducting the capital increase registration fees, the Company has the remaining capital increase of THB 7,375,527,149.
During January 2021 and June 2022, the Company had schedules to exercise the rights of the warrants to purchase the newly issued ordinary shares of the Company including 5 times of BCPG-W1 and 3 times of BCPG-W3. Total number of exercised warrants to purchase the newly issued ordinary shares were 2 5 3 , 3 85,131 shares and exercised price was THB 8.00 per share making total amount of THB 2,027,081,048. As a result, the cash from capital increase as of 30 June 2022 was THB 9,402,608,197. The Company would like to report the above proceeds utilization of remaining capital as of 30 June 2022 as follows.
