On December 13, 2023, the Company and the Investor executed an amendment (the " Amendment ") to the Original Purchase Agreement. Pursuant to the Amendment, the parties mutually agreed to revise the conversion floor price of the Convertible Promissory Notes from $0.10 per share to $0.80 per share. The form of Convertible Promissory Note was also amended accordingly. The form of the Amendment and the form of the amended Convertible Promissory Note are filed as Exhibits 4.1 and 10.1 to this Current Report on Form 6-K, respectively; and such documents are incorporated herein by reference.
