(the "Company" or "Banyan") (TSXV:BYN)(OTCQB:BYAGF) is pleased to announce that it has closed its previously announced acquisition from Generic Gold Corp. ("Generic Gold") of a 100% interest in Generic Gold's Yukon exploration portfolio, comprising 2,158 claims across the Goodman, Seattle, VIP, Summit and Livingstone claim blocks (collectively, the "Properties"), in the prospective Tintina Gold Belt, in consideration for the issuance of 2,142,857 common shares of Banyan (the "Consideration Shares") at a deemed price of $1.40 per share. The Consideration Shares are subject to a statutory hold period under applicable Canadian securities laws expiring on October 12, 2026, and a contractual 1 year hold period expiring on June 11, 2026. The Properties were acquired free and clear of royalties and encumbrances, other than a 1% net smelter returns royalty on specific claims. Grant of Options The Board of Directors of the Company have granted 50,000 stock options to purchase 50,000 shares at an exercise price of $1.15 per share with a vesting period of 18 months with a five-year term. The stock options are being issued to consultants and employees of the Company. The options were granted under and are subject to the terms and conditions of the Company's stock option plan. About Banyan Banyan's primary asset, the AurMac Project is located in the Traditional Territory of First Nation of Na-Cho Nyäk Dun, in Canada's Yukon Territory.
