Independent Auditor's Report on Review of Interim Financial InformationTo the Shareholders of Bangkok Expressway and Metro Public Company Limited
I have reviewed the accompanying consolidated financial information of Bangkok Expressway and Metro Public Company Limited and its subsidiaries (the Group), which comprises the consolidated statement of financial position as at 31 March 2026, the related consolidated statements of income, comprehensive income, changes in shareholders' equity and cash flows for the three-month period then ended, as well as the condensed notes to the interim consolidated financial statements.
I have also reviewed the separate financial information of Bangkok Expressway and Metro Public Company Limited for the same period (collectively "the interim financial information").
Management is responsible for the preparation and presentation of this interim financial information in accordance with Thai Accounting Standard 34 Interim Financial Reporting. My responsibility is to express a conclusion on this interim financial information based on my review.
Scope of ReviewI conducted my review in accordance with Thai Standard on Review Engagements 2410, Review of Interim Financial Information Performed by the Independent Auditor of the Entity. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with the standards as applicable to auditing issued by the Federation of Accounting Professions and consequently does not enable me to obtain assurance that I would become aware of all significant matters that might be identified in an audit. Accordingly, I do not express an audit opinion.
ConclusionBased on my review, nothing has come to my attention that causes me to believe that the accompanying interim financial information is not prepared, in all material respects, in accordance with Thai Accounting Standard 34 Interim Financial Reporting.

General information

Basis for preparation of interim financial statements
These interim financial statements are prepared in accordance with Thai Accounting Standard No. 34 Interim Financial Reporting, with the Company choosing to present condensed interim financial statements. However, the Company has presented the statements of financial position, income, comprehensive income, changes in shareholders' equity, and cash flows in the same format as that used for the annual financial statements.
The interim financial statements are intended to provide information additional to that included in the latest annual financial statements. Accordingly, they focus on new activities, events and circumstances so as not to duplicate information previously reported. These interim financial statements should therefore be read in conjunction with the latest annual financial statements.
The interim financial statements in Thai language are the official statutory financial statements of the Company. The interim financial statements in English language have been translated from the Thai language interim financial statements.

Basis of consolidation
The interim consolidated financial statements include the financial statements of Bangkok Expressway and Metro Public Company Limited ("the Company") and its subsidiary companies ("the subsidiaries") (collectively as "the Group") and have been prepared on the same basis as that applied for the consolidated financial statements for the year ended 31 December 2025, with no change in shareholding structure of subsidiaries during the current period.

Accounting policies
The interim financial statements are prepared by using the same accounting policies and methods of computation as were used for the financial statements for the year ended 31 December 2025.

Basis for preparation of interim financial statements

Related party transactions
During the period, the Group had significant business transactions with related parties. Such transactions arose in the ordinary course of business and were concluded on commercial terms and bases agreed upon between the Group and those related parties. There were no significant changes in the transfer pricing policy of transactions with related parties during the current period.

On 30 January 2026, the subsidiary entered into a long-term loan agreement with a local financial institution, totaling Baht 2,800 million. The loan carries interest at a floating rate plus a stipulated margin, with repayment in installments commencing in June 2026 to September 2033.
As at 31 March 2026, the Group has the revolving and non-revolving credit facilities which have not yet been drawn down amounting to Baht 9,056 million and Baht 32,880 million, respectively.
In April 2026, the Company entered into two long-term loan agreements with local financial institutions, totaling Bath 5,000 million, to invest in the MRT projects and/or support the repayment of its existing debts related to eligible green projects. The loans carry a floating interest rate plus stipulated margins and/or a fixed interest rate.

On 18 February 2026, the Company issued five tranches of sustainability debentures No.1/2026, totaling Baht 8,000 million, with interest rates of 2.03 - 3.41 percent per annum and maturity dates are between February 2029 and February 2038 to fund and/or refinancing of investments in clean transportation project. These debentures are registered debentures, unsubordinated and unsecured, with a debenture holders' representative, that pay interest semi-annually. The debentures are subject to covenants relating to the maintenance of an interest-bearing debt to equity ratio.

Revenue from commercial development business
Revenue from commercial development business, as presented in the separate financial statement for the three-month period ended 31 March 2026 amounted to Baht 204 million (2025: Baht 237 million). This included revenue from commercial development under the MRT Blue Line concession agreement for the three-month period ended 31 March 2026 amounted to Baht 187 million (2025: Baht 219 million).

Earnings per share
Basic earnings per share is calculated by dividing profit for the period attributable to equity holders of the Company (excluding other comprehensive income) by the weighted average number of ordinary shares held by external shareholders net of the weighted average number of treasury shares during the period.
As at 31 March 2026 and 31 December 2025, the Company had an outstanding treasury shares of 307 million shares at total cost of Baht 2,452 million in the account.

Fair value of financial instruments
Since the majority of the financial instruments of the Group are short-term in nature or carrying interest at rates close to the market interest rates, their fair value is not expected to be materially different from the amounts presented in the statements of financial position. However, as at 31 March 2026, the Company has financial liabilities with carrying value that differs from the fair value comprising the debentures with a book value of Baht 46,885 million and a fair value of Baht 47,762 million and the fixed-rate long-term loans with a book value of Baht 2,526 million and a fair value of Baht 2,613 million.

On 8 April 2026, the 2026 Annual General Meeting of the Company's shareholders passed a resolution to approve a dividend payment for the year 2025 of Baht 0.15 per share, totaling Baht 2,247 million. This dividend is paid on 7 May 2026 and will be recorded in the second quarter of this year.
