Milan, April 23, 2026

Today, following the conclusion of the shareholders' meeting that renewed the Board of Directors, the Board of Directors of Banca Sistema S.p.A. met and resolved to appoint Iacopo De Francisco as Chief Executive Officer, granting him the necessary powers. Iacopo De Francisco retains his position as General Manager of the Bank.

The Board of Directors also appointed Gioia Ghezzi as Vice Chair and designated Luitgard Spögler as the Anti-Money Laundering Officer.

The Board of Directors has established the following internal committees:

• Internal Control and Risk Management Committee, and the Sustainability Committee, acting as the Related Parties Committee (CCIGR);

• Remuneration Committee;

• Appointment Committee.

The three internal committees are composed of three members, selected from among Banca Sistema's independent directors: Claudio Battistella (serving as Chair of the CCIGR), Gioia Ghezzi (serving as Chair of the Remuneration Committee), and Alessandra Grendele (serving as Chair of the Appointment Committee).

It is also hereby announced that certain dates in the annual calendar of corporate events for the 2026 fiscal year, published on January 26, 2026, have been amended by the Board of Directors as follows:

Banca Sistema S.p.A., as a company listed on the Euronext STAR Milan segment of Borsa Italiana S.p.A., pursuant to Article 2.2.3, paragraph 3, of the Regulations for Markets Organized and Managed by Borsa Italiana, intends to publish its interim Management reports as of March 31 and September 30 within 45 days of the end of the first and third quarters of the fiscal year.

The related financial reports will be made available in accordance with applicable regulatory provisions and can be consulted on the Bank's website (https://www.bancasistema.it in the Investors / Results and Presentations section), as well as on the authorized storage mechanism (https://www.1info.it).

The calendar of corporate events for fiscal year 2026 is also available on the Bank's website at https://www.bancasistema.it under the Investors / Calendar and Events section.
