B3 S.A. - Brasil, Bolsa, Balcão CNPJ nº 09.346.601/0001-25 NIRE 35.300.351.452 MATERIAL FACT Change in B3's Management B3 S.A. - Brasil, Bolsa, Balcão ("B3" or the "Company") hereby informs its shareholders and the market in general that its Chief Executive Officer, Gilson Finkelsztain, will step down from his position at the end of the first half of 2026, concluding his current successful cycle at the head of the Company. The executive, who has led B3 since 2017, will remain in office until such date, ensuring an appropriate transition of his responsibilities and the continuity of the Company's operations and execution of its strategy. The decision was taken by mutual agreement between the executive and the Board of Directors, within the context of a structured succession process, initiated well in advance, in line with the Company's governance practices. B3 will inform the market in due course of the name of the successor, once the ongoing process has been concluded. The Company reiterates its commitment to high standards of corporate governance, as well as to the continuity of its strategy and the generation of value for its shareholders. Finally, B3 clarifies that, as of this date, there is no other decision or material fact related to this matter.
