PRESS RELEASE Azimut strengthens its expansion in Brazil with the acquisition of a majority stake in Unifinance Group Milan and Rio de Janeiro, 19 January 2026 Azimut Group announces the acquisition of a majority stake in Unifinance Group , which has a strong presence in wealth management in the Ultra High Net Worth (UHNW) segment and significant penetration in the institutional clients segment (closed pension funds and insurance companies). The transaction aims to strengthen Azimut's presence in Brazil, reinforcing the Group's global strategy to expand in strategic markets, without losing focus on quality and long-term value creation. With this acquisition , which follows the one signed last December for the acquisition of Knox Capital 1 , Azimut enhances its ability to serve highly sophisticated clients in Brazil through an integrated model that combines local expertise, solid governance, and a global architecture. Unifinance Group, with offices in Rio de Janeiro and Santa Catarina, has a highly qualified team that, over its 20-year track record , has consolidated its commercial footprint by delivering tailored solutions to a highly sophisticated client base . As of end of 2025, Unifinance surpassed R$ 4.1 billion 2 (approximately € 640 million) in assets under advisory/management , supported by a long-standing client base built on excellence and alignment of interests. The integration with Azimut enhances client delivery through greater scale, a broader product offering, and strengthened processes, while keeping Unifinance's independence, culture, and investment process unchanged. The acquisition will be structured through the exchange of shares in Azimut Holding S.p.A., without any initial cash payment. It includes an earn-out mechanism linked to the achievement of predefined growth objectives. As a result, Azimut will manage approximately R$ 60 billion (over € 9 billion) in Brazil , confirming its role as our third-largest market globally .
