The year 2025 marked a pivotal milestone for our Group.

Following the successful financial restructuring completed at the end of 2024, we entered a new chapter defined by discipline, strategic clarity and profound transformation. This year has been shaped by tangible progress and

  • ● 2025: A Year of Successful Transformation and Renewed Performance

    Following the launch of our Genesis strategic and transformation plan at Capital Markets Day last May, its execution has already delivered clear results: we exceeded our cash and profitability targets for the year, achieved the

    €8 billion revenue milestone announced in October, and saw accelerated order intake in the fourth quarter, confirming the strength of our fundamentals.

    By consolidating the foundations of our recovery, we have laid the groundwork for a more robust, more focused and strategically-positioned operating model, capable of sustainably meeting the demands of a rapidly evolving digital services and technology market.

  • ● A Group Refocused Around Two Complementary Brands

    As part of the Genesis plan, we streamlined the Group's structure to enhance the clarity of our business model. We have now established two distinct yet complementary areas: digital services under the Atos brand, and products

    and software under the Eviden brand. Our approach is guided by a clear principle: strengthening customer proximity while empowering decision-making and responsiveness at the local level.

  • ● Leading Industry Recognition and Renewed Customer Trust

    In 2025, both Atos and Eviden received strong recognition from industry analysts for the excellence of our offerings. The Group was named a Leader in several strategic segments, including digital workplace for the ninth consecutive year (Gartner), generative AI (NelsonHall), and advanced analytics and AI services (ISG), as well as through distinctions from partners such as ServiceNow and SAP, and in the field of high-performance computing. Jupiter, Europe's first Exascale supercomputer designed by Eviden, was also ranked the most powerful system in Europe and fourth worldwide in the TOP500.

    This momentum extends to sustainability: Atos Group ranks within the top 7% of IT services companies in S&P Global's 2025 Corporate Sustainability Assessment and received the EcoVadis Platinum medal for the sixth consecutive year. The Carbon Disclosure Project (CDP) also acknowledged our leadership by including the Group in its prestigious Supplier Engagement Rating Leaderboard. Eviden additionally secured the number-one position in the Green500, which ranks the world's most energy-efficient supercomputers.

    In 2025, Atos further strengthened its commercial momentum with numerous strategic contract wins, demonstrating renewed client confidence. These included a major cybersecurity contract with the European Commission, the deployment of a private 5G mobile network at the Port of Ploče in Croatia, and the modernization of the end-user computing environment for the UK's Department for Environment, Food and Rural Affairs (DEFRA). Eviden, meanwhile, was selected to develop a national AI Factory in Serbia and to modernize communications for the Spanish Air and Space Force on behalf of NATO. Atos also reaffirmed its role as a key technology partner for UEFA and CONMEBOL. These achievements - spanning sectors and geographies - underscore the relevance of our portfolio, the local anchoring of our teams, and our ability to deliver reliable, secure, end-to-end solutions in a fast-changing technological and geopolitical environment.

  • ● A Technological and Geopolitical Landscape Opening New Opportunities

    To continue our development, we must account for the major shifts reshaping our market, both technologically and geopolitically, and which are opening new avenues for growth. Two forces now define our environment: the acceleration of digital transformation and the growing need to secure infrastructures and data. Cloud, cybersecurity and artificial intelligence have become

    indispensable priorities in a global context where sovereignty issues are more decisive than ever.

    The sovereign initiatives launched in 2025 - dedicated data centers, sovereign orchestration hubs and secure environments developed with major technology partners

    - reinforce the Group's central role in digital security and sovereign AI.

  • ● Investing in Artificial Intelligence and Skills to Shape the Future

    Artificial intelligence is already transforming the way organizations operate. At the core of this shift is agentic AI, capable of planning, executing, reasoning and learning. Atos Group intends to be a driving force in this revolution by building two major "digital factories" to industrialize AI adoption for our clients.

    To support this ambition, our Data & AI business will grow significantly from around 2,000 employees in 2025 to nearly 10,000 by 2028, and all our teams will be AI-certified as early as next year. This substantial investment underscores our commitment to helping clients deploy AI at scale while strengthening our solutions portfolio.

The Atos Group raison d'être, as included in its articles of association on April 30, 2019, at the general meeting of shareholders of Atos, describes how the Company's entire operations contribute to the common good. The raison d'être guides Atos Group to engage with its stakeholders, or its "ecosystem": employees, customers, shareholders, academia and research centers, industrial partners and public authorities.

"The purpose of Atos is to help design the future of the information space. Its expertise and services support the development of knowledge, education and research in a multicultural approach and contribute to the development of scientific and technological excellence. Philippe Salle was appointed chairman of the board of directors of Atos Group in October 2024 and became chief executive officer on February 1, 2025. He began his career with Total in Indonesia in 1988, before joining Accenture in 1990, where he was promoted to senior consultant. He joined McKinsey in 1995 and became a senior manager three years later. He joined Vedior in 1999 (now Randstad, listed on Euronext Amsterdam) and became chairman and CEO of Vedior France in 2002. He became a member of the executive board in 2003 and was appointed head of Southern Europe in 2006. In 2007, he joined the Geoservices Group (sold to Schlumberger in 2010), a technology company in the oil sector under LBO, first as Deputy CEO and then as chairman and CEO. In June 2011, he became chairman and CEO of Altran, an engineering consulting firm listed on the Euronext Paris. In April 2015, he was appointed chairman and CEO of the Elior Group, a global player in catering and services. From December 2017 to January 2025, he led Emeria, an LBO-backed company specializing in real estate services and technologies, where he remains a board member. Philippe Salle has also served as chairman of the board of directors of Viridien (formerly CGG) from 2018 to January 2025. He has since remained vice-chairman and has also been a member of the board of directors of Banque Transatlantique since 2010. A graduate of the Ecole des Mines de Paris, he holds an MBA from the Kellogg Graduate School of Management (Northwestern University, Chicago). He is a Chevalier de l'ordre national du Mérite, Chevalier de la Légion d'honneur and Commandeur de l'ordre du Mérite de la République italienne.

Frédéric Aubrière is Group chief information officer, driving the company's internal IT roadmap and digital transformation. He leads a global team of 950 professionals, delivering innovative workplace, application and security solutions for Atos Group's employees. Frédéric spearheaded Atos's SAP S/4HANA RISE implementation and the modernization of managed workplaces for 70,000 users. With 30 years of international experience in technology and industrial sectors, he has a strong track record in IT strategy, architecture, and mergers and acquisitions. Before joining Atos, Frédéric managed global enterprise resource planning (ERP) and product lifecycle management (PLM) deployments at Schlumberger. He holds a Master of Science in Computer Science from the French engineering school ENSIIE (Ecole nationale supérieure d'informatique pour l'industrie et l'entreprise) and is passionate about innovation, sustainability, and digitalization, often sharing insights as Atos's "Customer Zero."

Franck Chartier is head of France. Franck holds an engineering degree in information systems from UTC in France. He has 30 years of experience in management and leadership within the IT and digital markets, having worked for several companies. He spent over 10 years in IT services firms such as Unilog (today CGI), managing large projects, and five years as CIO, including at Union sociale pour l'habitat, where he developed digital services for the social housing sector. Franck also held executive roles in

the business process outsourcing (BPO) sector, overseeing IT outsourcing and helpdesk operations in multiple countries, notably at Stream Global Services (today Convergys). More recently, from 2018 to 2024, he chaired two software publishing companies within the Emeria Group, with a mission to design and deploy new ERP solutions for the real estate market in France and Europe.

With more than 25 years of experience in IT leadership positions, Christian Ernst joined Atos in 2011 after a successful tenure at Siemens IT Solutions and Services. Besides several management positions, Christian led several highly complex projects during his 12 years with Atos. After serving as global head of industry operations for manufacturing, he is now head of Germany, Austria & Central Europe (GACE), driving digital transformation across the Central European market. With his professional experience as a consultant, project and delivery manager, as well as leading several outsourcing projects, he is driving GACE in the right direction with focus on sales, AI, security and sovereignty.

Leon Gilbert has spent nearly 30 years in the digital workplace (DWP) industry, having re-joined Atos in January 2023. Prior to this, he was part of the executive leadership team at Unisys as the SVP and general manager for their digital workplace solutions business. Before Unisys, Leon spent more than 6 years at Atos, starting in 2014. During his first tenure at Atos, he held multiple regional and global roles at Atos, all focused on DWP. Before this, Leon served as senior vice-president of DWP for Marsh & McLennan Companies for five years. He holds a Bachelor of Arts degree in information technology from Manchester Metropolitan University in the UK.

Michael Grunberg is head of North America. With more than 30 years of technology leadership experience, Michael has built his career across multiple acquisitions that now form Atos in North America. He has held roles spanning sales, sales management, general management, client management and delivery management, consistently guiding teams through complex outsourcing engagements and large-scale transformation initiatives. As head of North America, he leads a €1.5 billion operation across the United States, Canada and Mexico, with a strategic focus on next-generation AI-enabled services and operational excellence. His 13-year journey with Atos, combined with deep industry knowledge, has positioned him as a trusted advisor to clients navigating digital transformation.

Michael Herron is the head of UK & Ireland and brings over 25 years of business experience across both the public and private sectors, building and leading high-performing teams to deliver digital services and outcomes that positively impact citizens and society. He believes that business has a key role to play in society and is a great supporter and driver of social value and net zero initiatives. He has a strong track record in demonstrating that empowered and engaged employees drive improved customer satisfaction, which in turn delivers sustainable shareholder value. As a people-first leader, he understands the importance and value of people.

Pierre-Yves Jolivet is head of Eviden. Pierre-Yves also serves as the head of the Cybersecurity business, overseeing both cybersecurity services and products strategy and portfolio. A recognized tech executive, he brings a deep knowledge of the cyber, defense and public sectors. Previously at Thales, he held positions of increasing responsibility in the defense and cyber markets, most recently serving as vice-president and general manager of the Cyber Digital business line. Before joining Thales in 2017, he spent 13 years at the Boston Consulting Group, where he became a partner and managing director responsible for the Tech and Telecom practice in France, leading consulting assignments for international companies in France, EMEA and the USA. After graduating from École Polytechnique in 1996, he specialized in telecoms (Télécom Paris) and economics (Université Paris Dauphine). He began his career at Alcatel-Telspace, before spending five years in public office at the Ministry of Finance, notably at the French Treasury ("Direction générale du Trésor"), where he oversaw public funding to innovative industries.

Cécile Kavalsès is the Group's general secretary and general counsel, as well as the secretary of the board of directors. After joining Atos in 2006, she was appointed general counsel in charge of the corporate affairs department in 2009. She then held various positions as general counsel in different regions of the Group, notably India, the Middle East and Africa, and Benelux and the Nordics, before returning to France to oversee Southern Europe. In 2023, she became the secretary of the board of directors, followed by her appointment as Group general secretary in 2024 and Group general counsel in 2025. Alongside her corporate responsibilities, she has taught corporate law at Paris-Dauphine University for 12 years, and for two years, specialized in the Organization for the Harmonization of Business Law in Africa (OHADA) at the BGFI Business School in Gabon. She holds a certificate of aptitude for the bar (CAPA) and an LL.M. in Business Law from Paris XI University, in partnership with HEC in France.

Günter Koinegg is leading Cybersecurity Services globally. Based in Austria, he brings over 20 years of experience in IT with a strong focus on cybersecurity, the public sector and defense. After his first years in consulting, Günter led large international digital transformation programs and drove several M&A transactions. Building on these achievements, he was responsible for ramping up the "Atos Big Data and Security" division in Central and Eastern Europe. After leading the homeland security and defense market globally for Atos for three years, Günter focused on the transformation of Atos Central Europe and is now driving the strategic transformation and growth of Atos's Cybersecurity Services. As a board member of the European CyberSecurity Organisation, he supports boosting Europe's digital sovereignty, strengthening the cybersecurity ecosystem and closing the skills gap.

Michael Kollar currently serves as head of the Atos Cloud & Modern Infrastructure and Digital Workplace business lines. Michael is a seasoned C-level executive with a wealth of global leadership experience at companies such as Lincoln Investment, Atos, Siemens, Oracle, CSC and DXC. Michael has a proven track record of steering organizations to achieve market leadership, significant operational and cost improvements and growth through

the strategic implementation of innovative technology. Michael is known for his compelling and effective communication skills at all organizational levels, from the frontlines to the boardroom, and is a sought-after speaker at industry events hosted by ServiceNow, Intel and VMWare. In his previous roles at Atos, Frederic was the head of France and the UK & Ireland and was the global delivery executive. With an extensive and distinguished career in information technology, Frederic is particularly recognized for his adept leadership in steering large-scale IT outsourcing initiatives as well as driving large-scale complex organizational change and transformation. Frederic's journey in the IT industry is marked by a series of significant achievements in various domains, including IT services, consulting, systems integration and outsourcing services. His expertise encompasses the entire spectrum of large program service life cycle management. This ranges from initial engagement phases through to customer service integration, service transformation and ensuring seamless business operations. Narendra Naidu is the head of Data & AI, responsible for crafting and implementing AI strategies that empower organizations to unlock the full potential of their data assets, enhance customer experiences and drive strategic decision-making. With more than 25 years of experience in the IT sector, he has a proven track record in building digital platforms that harness the power of data and AI to accelerate innovation and growth. He has extensive experience in driving digital transformation across multiple industries and helping customers navigate the transformative impact of generative AI and agentic AI disruption on traditional business practices.

Paul Peterson currently serves as the Group chief human resources officer, overseeing Atos's global workforce since his appointment in February 2020. With more than two decades of leadership experience in IT services and human resources, Paul has lived and worked across Europe, Asia and the Americas, bringing a truly international perspective to his role. Over his 15+ years at Atos, Paul has held a range of senior HR and operational positions, including head of HR and talent for North America, head of HR for Global Infrastructure and Data Management, and deputy head of Group HR. He originally joined Atos as HR director for Major Events and program director and has since played a pivotal role in shaping the company's global people strategy. Before his tenure at Atos, Paul held executive roles such as chief information officer, program director and head of HR in other organizations, with a career in human resources that began in the late 1990s. He holds a Bachelor of Arts in Political Science and Government from Brigham Young University and pursued doctoral studies in Social Statistics at The Ohio State University in the United States.

Jacques-François de Prest is the Group chief financial officer. After some experience in auditing, he has spent most of his career in the telecommunications industry, holding senior finance roles at both Vodafone and Millicom, in five different countries. Before joining Atos in January 2024, Jacques-François served as the Group CFO at Mobivia. Jacques-François has developed an ability to transform in demanding and fast-changing environments, through driving strategic transformation and operational excellence. For instance, he successfully contributed to the IPO of Millicom (Tigo) on Nasdaq in New York in 2019. Jacques-François holds a graduate degree from ESCP Europe and an MBA from INSEAD.

Daniele Principato is head of the International Markets geography at Atos, covering a diverse and strategic portfolio across Africa, Asia Pacific, Iberia, the Middle East, South America, Southeast Europe, Switzerland and the specialist unit of Major Events. He also continues to serve as head of Asia Pacific. He is currently based in Dubai, UAE. In his role, Daniele is responsible for setting the strategy, driving market expansion, managing the P&L and unlocking new opportunities to deliver greater value to clients and partners across the regions. Since joining Atos in 2004 via the Atos KPMG Consulting business, he has held several senior positions, including senior vice-president for the Business and Platform Solutions business line in the United Kingdom and as chief operating officer for the Growing Markets Regional business unit. Earlier in his career, Daniele worked for Jaguar Land Rover, as well as serving as a board member of the UK Management Consultancies Association. He is known for his results-driven leadership, focus on client impact, and commitment to fostering entrepreneurial, collaborative and balanced work cultures.

Florin Rotar is the Group chief technology officer and has over two decades of experience scaling AI and emerging technologies. A 25-year Avanade veteran, Florin started as the company's first employee in Europe, entrepreneurially

leading the region before holding several leadership positions across the business: chief innovation officer, global modern workplace lead and global digital lead. Holding a Master of Science and Telecommunications Engineering from the Faculty of Engineering at Lund University in Sweden, he began his career with Procter & Gamble in 1996 and Andersen Consulting in 1998. Born an entrepreneur and passionate about digital technologies, he is recognized by Entrepreneur Magazine as "Top 10 CTOs To Watch In 2023" and was awarded "2024 Chief AI Officer of the Year" by HMG Global Leadership Institute, both in the United States.

Punit Sehgal was appointed head of Belux, Netherlands and Nordics in February 2025, leading more than 8,000 professionals across Atos. With over 20 years of international experience in sales, strategy and digital transformation, he has a strong track record in fostering customer-centric growth, building high-performing teams and delivering innovation in both public and private sectors. Born in Brussels and of Indian origin, Punit began his career at Siemens IT Solutions & Services before joining Atos in 2011.

Laurent Soulier is the Group head of strategy and operational excellence. Graduated from École Polytechnique and Télécom Paris, board member and Honorary president of Télécom Paris Alumni association and board member of Institut Mines-Télécom, Laurent has spent 10 years in the public sector. He started his career in the cybersecurity department of the Ministry of Defense, before moving to the Ministry of Industry, where he led the transposition into French law of European directives regulating the internet and postal sectors. Atos signs a strategic partnership with Esri France (Environmental Systems Research Institute), a leader in geographic information systems (GIS), to strengthen their offerings in the market related to AI-powered digital twins for territories and infrastructure. These new software solutions will facilitate the collection, management and visualization of complex location-based information through the simulation and development enabled by these digital twins.

Atos, a key Technology Partner of Special Olympics International for the World Winter Games Turin 2025, delivers the critical IT services that helped make the games a success. Atos provides a range of essential services, including competition management, data processing, sport entries, credentialing, timing and scoring integration, as well as results feeds for a total of nine sports and activities.

The Department for Environment, Food and Rural Affairs (DEFRA) in the UK selects Atos to transform service desk and end-user services into a single coherent, agile service. The five-year contract, worth £150 million, will improve the quality and efficiency of DEFRA's service desk, which manages 34,000 users, through continuous innovation of modern technologies, including AI, machine learning (ML), analytics and automation.

Eviden announces the signature of a 50-million-euro contract with Serbia's Office for IT and eGovernment. Eviden has been awarded a major contract to build Alice Recoque, a next-generation supercomputer to support the need for scientific computing and artificial intelligence (AI), serving. Alice Recoque will be France's first and Europe's second Exascale supercomputer, a machine to expand Europe's AI and research capabilities while ensuring energy efficiency and sovereignty.

Atos launches an agentic AI solution: Autonomous Data and AI Engineer to augment the capabilities and velocity of data and AI engineering teams. This solution is powered by the Atos Polaris AI Platform, integrated with Microsoft Azure's advanced cloud and AI capabilities, launched earlier this year, enabling comprehensive systems of AI agents working autonomously to orchestrate complex workflows.

Eviden announces GEMMA V9, a major new release of its flagship emergency management platform, GEMMA. Reprioritizing IT for Measurable Outcomes in 2026

The global technology landscape in 2026 is shaped by geopolitical instability, economic caution and a strategic pause in IT spending. While Gartner forecasts global IT spending to grow by 10.8% in 20261, actual enterprise IT budgets will only rise by 2.8%2, with inflation eroding much of the increase. This reflects a broader "uncertainty pause" that began in mid-2025, driven by political realignments, trade tensions and regulatory complexity.

Gartner cites that, "CIOs and technology executives face a turbulent 2026 filled with new enterprise complexities in areas like sourcing, planning horizons, career and growth, and resilience. Ninety-four percent of these leaders anticipate that geopolitical shifts and emerging digital sovereignty laws will force major changes. As a result, a majority of CIOs have reported growing pressures to improve employee productivity (57%) and reduce costs (52%)."3

In order to adapt to this changing landscape, Gartner identifies three strategic pivots that CIOs need to embrace:

    To translate this ambition into tangible value creation, the Group has defined a clear 2028 financial trajectory:

  • 5-7% organic revenue CAGR between 2025 and 2028. Strategic, targeted and disciplined M&A could further increase revenue to up to 9 to 10 billion euros in 2028

  • Around 10% operating margin, supported by cost reduction measures and structural visible growth, partially offset by an acceleration of R&D investments

  • Leverage ratio below 1.5x net debt/OMDAL1. On the path to an investment-grade rating, the Group expects to achieve a BB profile in 2027

    To turn this ambition into execution and to secure delivery of the 2028 financial trajectory, the Group has launched Genesis, its 2025-2028 strategic and transformation plan, revolving around AI-centric business and improved cash generation to restore sustainable growth.

First line of defense Second line of defense Third line of defense

The first line of defense is ensured by all Atos employees in their daily work under managerial supervision. They define and execute operational processes, systems and controls to ensure resilience and compliance with legislation, regulation, contractual obligations and Group policies and standards. The first line also performs day-to-day risk identification, assessment, management and reporting.

The second line of defense provides oversight and control. In light of risk analyses conducted through complementary approaches, it establishes enterprise-wide risk governance and business resilience requirements. It sets functional policies, limits of authority and maintains the internal control framework while monitoring the effectiveness of controls carried out by first line with the support of internal control managers and risk and internal control coordinators. Insurance management forms part of the second line of protection.

Being the third line of defense, the internal audit team works according to an annual plan approved by Group management and the audit committee. It conducts audits, investigations and advisory engagements to provide independent assurance of the effectiveness of the first and second lines of protection.
