EXTENSION OF LONG STOP DATE
IN RESPECT OF
CONNECTED TRANSACTION IN RELATION TO
SUBSCRIPTION OF CONVERTIBLE BONDS
UNDER SPECIFIC MANDATE
Reference is made to the announcement of Asia Television Holdings Limited (the ''Company'') dated 24 September 2019 (the "Announcement") in relation to, among other things, the Subscription. Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcement.
As disclosed in the Announcement, Completion is conditional upon the satisfaction of the conditions precedent under the Subscription Agreement on or before the Long Stop Date, being 15 November 2019 (or such other date as the Company and the Subscriber may agree).
Since more time is required to satisfy the conditions precedent under the Subscription Agreement, including but not limited to the passing by the Independent Shareholders at the EGM of an ordinary resolution to approve the Subscription Agreement and the transactions contemplated thereunder, on 7 November 2019 (after trading hours), the Subscriber and the Company entered into a letter of confirmation, pursuant to which the parties thereunder mutually agreed to extend the Long Stop Date to 6 December 2019.
Save as the extension of the Long Stop Date, all other terms and conditions of the Subscription Agreement remain unchanged and in full force and effect in all respects.
