Ascopiave S p A : purchases 100% of Asco Power S.p.A. Share Capital

The Ascopiave Group has today finalised the deed with Fin-Energy S.A. for the acquisition of 9.80% of the share capital of the subsidiary Asco Power S.p.A. (hereinafter also referred to as the "Company"), operating in the renewable energy sector.

The share of Ascopiave S.p.A. in Asco Power S.p.A. has therefore risen to 100% of the share capital.

The acquisition price is composed of a fixed portion equal to Euro 12,100,000.00 and, if the conditions are viable, also of a variable portion (earn-out), in pursuance of what has been agreed between the parties. As of 31.12.2024, Asco Power's Net Financial Position has been positive and equal to Euro 41,189 thousand, while the Gross Operating Margin amounted to Euro 15,655 thousand.

The Company holds an investment in Asco Wind & Solar S.r.l. (100%) and Green Factory S.r.l. (90%).

It is also herein stated that the fixed price, as agreed above, has been disbursed by Ascopiave

S.p.A. to the selling party on today's date via bank transfer. The outcome of the acquisition is valid with immediate effect; consequently Ascopiave S.p.A. is entitled to its share in the profits to be distributed and accrued.

Dr. Nicola Cecconato, the Chairman and CEO has stated: "The transaction represents a further step in the growth and consolidation of our Group".

The Ascopiave Group is one of the leading national operators in the natural gas distribution sector, managing the service in 301 towns in northern Italy, through a network of over 14,700 km with approximately 870,000 users.

The Group also operates in the renewable energy and integrated water service sectors and holds minority interests in companie s operating in energy marketing and utilities.

In the renewable energy sector, Ascopiave manages 29 hydroelectric and wind power plants with a nominal capacity of 84.1 MW. The Group holds minority interests in companies active in energy marketing (EstEnergy S.p.A. and Hera Comm S.p.A.), in the utilities sector (Acinque S.p.A.) and in information and communication technology (Acantho S.p.A.).

Ascopiave has been listed on the Euronext Star Milan segment of the Italian Stock Exchange since 12 December 2006.
