Appointment of Financial Controller and Grant of Options 

Stack BTC Plc, the UK-based company focused on building a portfolio of high-quality, cash-generative businesses, alongside a Bitcoin treasury, is pleased to announce the appointment of Zameer Ul Hassan as Financial Controller of the Company, with effect from 1 October 2026. 

Zameer is a Fellow of the Association of Chartered Certified Accountants (FCCA) with more than ten years' experience providing accounting, tax and business advisory services across a broad range of sectors. Most recently, he was a Senior Manager at Vision Consulting, where he advised owner-managed businesses on financial reporting, tax compliance, business development and acquisitions. 

Zameer combines strong technical accounting expertise with a practical, commercial approach and a clear understanding of the challenges faced by growing businesses. His appointment strengthens the Company's finance function as it progresses the proposed acquisition of Direct Bullion and the next phase of its growth strategy. 

Grant of Options 

The Company also announces that it has granted Zameer Ul Hassan options over 857,000 new ordinary shares in the Company (the "Options") at an exercise price of 6p per share. 

The Options vest in annual tranches over three years from 1 October 2026, with one third vesting on each of 1 October 2027, 1 October 2028 and 1 October 2029. Any Options that have not vested will be forfeited if he leaves the Company before the relevant vesting date. 

Following this grant, the Company has a total of 857,000 options and 23,673,820 warrants outstanding over ordinary shares, representing approximately 28.07 per cent. of the Company's current issued share capital of 87,384,000 ordinary shares.
