Disclosure Made According to the Requirements of the Law of 2 May 2007

15 May 2026 - Anheuser-Busch InBev (Euronext: ABI) (NYSE: BUD) (MEXBOL: ANB) (JSE:ANH) ("AB InBev") ("the Company") announces today, in accordance with article 14, first paragraph of the Law of 2 May 2007, that it received a transparency notification in accordance with articles 6 and 18 of the Law of 2 May 2007.

Following the dissolution of EPS Participations, a shareholder of the Company and holder of certificates issued by Stichting Anheuser-Busch InBev, EPS Participations' shareholding in Anheuser-Busch InBev decreased from 3.33% to 0%, and the direct shareholding of EPS, the parent company of EPS Participations, increased from 0% to 3.33%. This transaction does not change the aggregate shareholding of the persons subject to the notification obligation.

Separately, prompted by the delivery of treasury shares by AB InBev, the percentage of voting rights attached to shares held by AB InBev has crossed downwards the threshold of 3% and the percentage of voting rights attached to shares held in aggregate by AB InBev and certain of the entities and persons acting in concert with it has crossed downwards the threshold of 40%.

  9. Chain of controlled entities through which the shareholding is effectively held:

    Agreement of concert and shareholding structure of AB InBev:

    1. EPS, Rayvax Société d'Investissements, BRC and Stichting Anheuser-Busch InBev are bound by a shareholders' agreement organizing the joint control of Stichting Anheuser-Busch InBev by EPS and BRC and organizing a concert with Rayvax Société d'Investissements.

    2. AB InBev and its subsidiaries Brandbrew, Ambrew and Brandbev are controlled by Stichting Anheuser-Busch InBev, which is jointly controlled by EPS and BRC.

    3. Fonds Baillet Latour and Fonds Voorzitter Verhelst have also signed an agreement to act in concert with Stichting Anheuser-Busch InBev. Fonds Baillet Latour is controlled by the stichting under Dutch law Fonds InBev Baillet Latour. Fonds Voorzitter Verhelst is controlled by Fonds Verhelst SC.

    4. Rayvax Société d'Investissements is not controlled.

    5. EPS is not controlled.

    6. The ultimate control of BRC is jointly owned by Mr Jorge Paulo Lemann, Carlos Alberto da Veiga Sicupira and Max Van Hoegaerden Herrmann Telles. A table regarding BRC's complete chain of control was included in annex to the notification.

  10. Additional information: Following the dissolution on 13 May 2026 of EPS Participations, a wholly-owned subsidiary of EPS, EPS Participations' shareholding decreased from 3.33% to 0%, and EPS's direct shareholding increased from 0% to 3.33% in Anheuser-Busch InBev. This transaction does not change the aggregate shareholding of the persons subject to the notification obligation. Separately, the percentage of voting rights attached to the shares held by Anheuser-Busch InBev has crossed downwards the threshold of 3%, and the percentage of voting rights attached to the shares held in aggregate by Anheuser-Busch InBev and the parties to the shareholders' agreement has crossed downwards the threshold of 40%, on 13 May 2026, prompted by the delivery of treasury shares by Anheuser-Busch InBev.

    1. Certificates issued by Stichting Anheuser-Busch InBev (administrative office): EPS holds 331,537,416 certificates and BRC holds 331,537,416 certificates issued by Stichting Anheuser-Busch InBev. Each of these certificates potentially entitles the holder to 1 Anheuser-Busch InBev share, which is held by Stichting Anheuser-Busch InBev. These certificates are not included in point 10) B), otherwise the voting rights they represent would have been counted twice.

    2. The natural persons exercising ultimate control over BRC make the declaration on behalf of the companies exercising intermediate control above BRC, pursuant to article 11, §1 of the Law of 2 May 2007. Given that a large number of companies have intermediate control over BRC without holding a stake in Anheuser-Busch InBev, these companies have not been included in the table of shareholdings, but in a separate table included in annex to the notification.

    3. Anheuser-Busch InBev makes the declaration on behalf of Brandbrew Ambrew and Brandbev, its subsidiaries, pursuant to article 11 § 1 of the Law of 2 May 2007.

    4. Stichting Fonds InBev Baillet Latour makes the declaration on behalf of SC Fonds Baillet Latour, pursuant to article 11, §1 of the Law of 2 May 2007. Stichting does not directly hold any shares of Anheuser-Busch InBev.

    5. The cooperative company Fonds Verhelst makes the declaration on behalf of SC Fonds Voorzitter Verhelst, pursuant to article 11, §1 of the Law of 2 May 2007. The first of these companies does not directly hold any shares of Anheuser-Busch InBev.
