On January 15, 2001, the Board of Directors (the "Board") of Alliance Global Group, Inc. ("AGI" or the "Company") approved the subscription by American Growers Corporation ("AGC") of 160,000,000 AGI shares at Php11.50 per share, for a transaction value of Php1,840,000,000.00. The 160,000,000 AGI shares were fully paid on March 16, 2007.

As of August 15, 2022, the Company has complied with all applicable requirements for the listing of the 160,000,000 AGI Shares. The number of AGI's listed common shares will be accordingly adjusted on listing date.
