Alcoa to acquire South32's aluminium business in $5.6bn deal, gain South Africa, Brazil, Australia assets

US aluminium producer Alcoa (NYSE: AA) has agreed to acquire South32 (JSE/ASX/LSE: S32)'s aluminium business for up to $5.6bn, giving it control of South Africa's Hillside Aluminium smelter and a portfolio of bauxite, alumina and aluminium assets in Australia and Brazil.

Under the binding conditional agreement announced on July 1, Alcoa will acquire the Hillside Aluminium smelter and the idled Bayside smelter property in KwaZulu-Natal, together with South32's interests in Australia's Boddington bauxite mine and Worsley alumina refinery, as well as the Mineração Rio do Norte bauxite mine and the Alumar alumina refinery and aluminium smelter in Brazil.

South32 COO Africa Noel Pillay said the transaction would place Hillside under the ownership of a specialist aluminium producer with extensive experience across the industry's value chain, Mining Weekly reported.

He added that Alcoa would bring the benefits of its 'deep aluminium value chain experience' to KwaZulu-Natal while continuing to support local employment, host communities and South Africa's downstream aluminium industry.

The transaction strengthens Alcoa's position as a pure-play upstream aluminium producer while allowing South32 to sharpen its focus on base metals. Following the sale, South32 will retain its South African presence through its manganese mining operations in the Northern Cape.

Alcoa President and CEO William Oplinger said the acquisition would strengthen the company's portfolio of long-life aluminium assets.

'These high-quality, globally relevant assets are a strong strategic fit within Alcoa's portfolio and directly support our strategy as a pure-play upstream aluminium company,' he is quoted as saying.

The acquisition also brings strategic challenges. Hillside, the southern hemisphere's largest aluminium smelter, operates under a long-term electricity pricing agreement with state utility Eskom that expires in 2031. Securing a commercially viable low-carbon power solution beyond that date is widely regarded as critical to the smelter's long-term competitiveness and decarbonisation.

Part of the idled Bayside smelter has already been recommissioned to supply liquid aluminium to downstream manufacturers operating on the site, and those facilities will form part of the transaction.

The deal reflects ongoing consolidation in the global aluminium industry as producers seek to secure high-quality, long-life upstream assets amid rising demand for low-carbon aluminium from the automotive, packaging and renewable energy sectors. Subject to regulatory approvals and customary closing conditions, the transaction is expected to provide Alcoa with immediate cash flow while simplifying South32's portfolio around its core mining businesses.
