As previously announced in a press release on March 6, 2024 , the parties have entered into a binding agreement with a scheduled closing date of April 2, 2024 . Alcadon has today completed the acquisition of Wood Communications . The purchase price for the shares amounts, on a cash and debt-free basis, to EUR 10.1 million , of which 24.2 percent is paid through a non-cash issue of 733,661 shares in Alcadon corresponding to SEK 27,438,921 and the remaining part is paid in cash. The number of shares in Alcadon Group increases to 24,511,026. A conditional earn-out of a maximum of EUR 2.9 million may be paid if certain conditions are met during the period up to and including three years after closing, where part of the earn-out may be paid through a set-off issue, subject to the approval of the general meeting.
