Airborne Wireless Network Issues Update Regarding Trading Activity

SIMI VALLEY, CALIFORNIA

On or around February 22, 2017, Airborne Wireless Network (OTC QB: ABWN), a Nevada corporation (the “Company”), was made aware of and requested by the OTC Market Group, Inc., to comment on recent promotional activities and trading concerning its common stock.

The Company believes that such activity is due to the Company’s press releases and recent filings with the SEC regarding its disclosed relationships with Air Lease Corp. and Electric Lightwave (who has recently announced it is being acquired by Zayo Group) and the Company’s unique business, which have attracted much attention, including from traders and investment publications.

After sufficient inquiry, management of the Company has determined that none of its officers, director or controlling shareholders (defined as shareholders owning 10% or more of the Company’s securities) have, directly or indirectly, been involved in any way (including payment of a third-party) with the creation or distribution of promotional materials related to the Company and its securities.

After sufficient inquiry, management of the Company has determined that none of its officers, director, or controlling shareholder have sold or purchased the Company’s securities within the past 90 days.

Since January 1, 2016, the Company has engaged, IRTH Communications (investor relations services), ZapZorn Productions (corporate branding), Eurasian Capital (Institutional Funding Services and Institutional Market Awareness / Public Relations Services), and Neutron Media (advertising/branding).

From time to time, the Company has completed private placements of its securities.  The Company has not issued any convertible instruments, whatsoever.  Those private placements transactions are, typically, are for a unit, consisting of (a) shares of the Company’s common stock and (b) a warrant priced at a premium.  The pricing of the common stock is at a fixed-price at market price or VWAP on the date of issuance of those units.

The Company urges investors to rely only on information provided by the Company in its press releases and public filings with the United States Securities and Exchange Commission.

Airborne Wireless Network intends to create a high-speed broadband airborne wireless network by linking commercial aircraft in flight.  Each aircraft participating in the network will act as an airborne repeater or router sending and receiving broadband signals from one aircraft to the next creating a digital superhighway in the sky.   Airborne Wireless Network intends is to be a high-speed broadband internet pipeline to improve coverage connectivity.  Airborne Wireless Network does not intend to provide retail customer coverage to end users, but, instead, will act as a wholesale carrier with target customers, such as internet service providers and telephone companies.
