Ahold Delhaize N shareholders adopt 2025 financial statements and approve all agenda items, including (re)appointments to the Supervisory Board and Management Board

Zaandam, the Netherlands, April 8, 2026 - Today, Ahold Delhaize held its Annual General Meeting of Shareholders (AGM). Shareholders adopted all proposals on the agenda, including Ahold Delhaize's 2025 financial statements and (re)appointments to its Supervisory Board and Management Board.

The meeting was attended by 148 shareholders and proxies, representing 630,535,992 common shares. The meeting was webcast live via the Ahold Delhaize website. Shareholders who joined the AGM in person could vote either in advance or during the AGM and could ask questions during the meeting.

Shareholders adopted Ahold Delhaize's 2025 financial statements and agreed to the proposed annual dividend of €1.24 per common share for the financial year 2025, an increase of 6% versus 2024. An amount of €0.51 per common share was paid as an interim dividend on August 28, 2025. The remaining amount of €0.73 per common share will be payable on April 23, 2026. KPMG was reappointed as the external auditor for the 2027 financial year. KPMG was also appointed to carry out the assurance for the sustainability reporting in accordance with the CSRD for the financial year 2027, if required by law.

During his speech, Ahold Delhaize CEO Frans Muller commemorated ten years since the merger of Ahold and Delhaize Group, before turning to the world today: "The current times show how quickly certainties can shift. Reappointment to the Management Board

Shareholders approved the Supervisory Board proposal to reappoint Jolanda Poots-Bijl as member of the Management Board for a term of four years during today's AGM. Following this approval, the Supervisory Board reappointed Jolanda and designated her as Chief Financial Officer.

Upon the reappointment, Jolanda added: "It is a privilege to serve as CFO of this great company, working alongside our colleagues across brands and support functions to deliver healthier, affordable food to our customers every day, while building a strong platform for continued growth and sustainable, long-term value creation. I look forward to continuing on this journey for a second term."

(Re)appointments to the Supervisory Board

Shareholders approved the reappointment of Pauline van der Meer Mohr as member of the Supervisory Board. Pauline also serves as the Chair of the Remuneration Committee.
