We refer to the notice of general meeting dated 8 November 2012 (Notice) for the general meeting to be held on 20 December 2012 (General Meeting).
The Notice states that, subject to obtaining the relevant shareholders approvals at the General Meeting, 36,000,000 Tranche 2 Shares will be transferred to Mr Eddyarto by the respective vendors (outlined in the Notice) (Vendors) on 31 December 2012, being the Tranche 2 Settlement Date.
The Company has been informed that Arthur Phillip Nominees Pty Ltd (Arthur Phillip) and Mr Eddyarto have agreed to delay the transfer of a portion of Arthur Phillip's Tranche 2 Shares, such that the settlement of Tranche 2 shall occur as follows:
(a) 21,381,956 Tranche 2 Shares will be transferred to Mr Eddyarto from the Vendors on the Tranche 2 Settlement Date; and
(b) 14,618,044 Tranche 2 Shares will be transferred from Arthur Phillip to Mr Eddyarto on
31 March 2013.
Therefore, subject to obtaining the shareholder approvals contemplated by the Notice, all Tranche
2 Shares will be transferred to Mr Eddyarto on or before 31 March 2013. Otherwise, the terms of the agreements, consideration payable to the Vendors and impact of the acquisition on the relevant interest of Mr Eddyarto remain unchanged from that outlined in the Notice.
