I'd also like to remind you this presentation is being recorded. I would now like to hand you over to Sir Roger Bowen, Chairman of ITM POWER. Good morning.

0:21 Good morning, and thank you, and welcome, everyone, to this general meeting of ITM POWER PLC and our apologies for being a few minutes late coming online because of some technical issues that we had. This meeting has been confirmed convened for the purpose of receiving and considering the company's accounts, together with the directors report and the auditors report for the financial year ended 04/30/2020 and all those documents have been available, for some time online. Because of the current restrictions, it's meant that again, we've been unable to hold a physical meeting in the normal way.

1:13 And that's why shareholders are following these proceedings by way of an online audio and presentation link. Now we've not received any questions in advance of the meeting on these documents. It's not proposed this time to provide any further live presentation of either a live presentation or live Q and A after this session, because we had a very lengthy Q and A session after the extraordinary meeting that took place on the November 11. But if there are any questions arising from these documents that shareholders would like to ask, they will be dealt with separately and answered individually.

2:02 Again, because of the exceptional circumstances relating to COVID, the Board has decided to conduct the voting, for the resolution put before this general meeting, by way of a poll as opposed, of course, to the usual show of hands. And obviously, that's because shareholders can't attend in person. So I would like now to move to the single item on the agenda, which is the formal business of this meeting. And this resolution will be dealt with as an ordinary resolution. If you look now at the screen in front of you, I'm going to change to the summary slide, which gives the proxy votes received for the resolution.

3:01 And you will see that the percentage in favor is 91%. And so this is the resolution to be considered, and I will read it out. The resolution relates to the receipt and consideration of the Director's Report and the audited accounts of the company for the financial year ended 04/30/2020 together with the auditor's report, which have been sent to the shareholders and are now laid before the company formally at this general meeting. I propose that the directors' report, the auditors' report and the auditors and the audited accounts of the company for the financial year ended 04/30/2020 be duly received.

4:04 I report therefore the votes passed by proxy. Total votes cast, including those at the discretion of the chair, two hundred and twenty six thousand seven hundred and twenty six thousand four hundred and forty six. In favor and with the chairman, 205,978 I beg your pardon, 205,978,115 votes against 20,748,331 and votes withheld 259,237.

4:59 On that basis, I therefore declare, the resolution, carried. Ladies and gentlemen, that is the only item on the agenda for this rather, short meeting, and I therefore declare the formal general meeting closed.
