DIRECTOR CHANGE OF RESPONSIBILITIES

 

Further to Sir George Buckley's retirement from the Board at the conclusion of the Annual General Meeting ("AGM") scheduled for 16 November 2023, and the appointment of Steve Williams as Chair, as part of its orderly Director succession planning, Smiths Group today announces that Bill Seeger will stand for re-election at the 2023 AGM but will retire from the Smiths Group Board in May 2024. As the Group's Senior Independent Director, his re-election will facilitate continuity and support the Chair transition process. Upon Bill Seeger's retirement Mark Seligman will take over as the Senior Independent Director.

 

In preparation for Bill Seeger's retirement, a number of other changes will also take effect at the conclusion of the 2023 AGM:

 

·    Karin Hoeing will take over as Chair of the Remuneration & People Committee and lead workforce engagement director;

·    Mark Seligman will take over as Chair of the Finance Committee; and

·    Richard Howes will take over as Chair of the Audit & Risk Committee and will become a member of the Finance Committee.

 

Bill Seeger will continue as a member of the Remuneration & People and Finance Committees until his retirement and Mark Seligman will continue as a member of the Audit & Risk Committee.

 

There is no further information required to be disclosed pursuant to LR 9.6.11(3).
