Transaction in Own Shares – Correction

The following amendment has been made to the 'Transaction in Own Shares & Total Voting Rights' announcement released on 30 April at 7:00am under RNS No 4957M.

The 'Transaction in Own Shares & Total Voting Rights' announcement released on 30 April 2024 incorrectly stated the number of ZDP Shares repurchased on 29 April 2024 as 1,388,899. The number of ZDP Shares repurchased on 29 April 2024 should have stated 1,388,889. Consequently, the correct number of ZDP shares held in treasury following the repurchase should have stated 11,894,628 and the total number of ZDP Share voting rights should have stated 6,274,833.

All other details remain unchanged.

Transaction in Own Shares & Total Voting Rights

The Company announces that on 29 April 2024 it purchased 1,388,889 zero dividend preference shares of no par value ("ZDP Shares") at a price of GBP 1.08 per ZDP Share. All of the ZDP Shares purchased will be held as treasury shares.

Following the above transaction, the Company has 18,169,461 ZDP Shares in issue, of which 11,894,628 ZDP Shares are held by the Company as treasury shares. The total number of ZDP Share voting rights is therefore 6,274,833.

This figure 6,274,833 may be used by holders of ZDP Shares as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the ZDP Shares under the FCA's Disclosure Guidance and Transparency Rules.
