Publication of Notice convening a General Meeting

On the Beach announces that it has today published a circular and notice convening a General Meeting seeking shareholder approval of a revised directors' remuneration policy, the introduction of a growth plan and an amendment to the Long Term Incentive Plan 2023. The revised proposals follow extensive engagement with the Company's shareholders over recent months, with feedback from this process having been carefully considered and reflected in the final remuneration policy.

The Notice contains further details on the background to, and the reasons for, the proposals within the Notice. The Notice convenes a General Meeting of the Company to be held at Aeroworks, 5 Adair Street, Manchester M1 2NQ on 12 September 2025 at 9:00am. A summary of the ordinary resolutions to be proposed at the General Meeting is set out below.

Resolution 1 concerns the adoption of the proposed new Directors' Remuneration Policy. Resolution 2 concerns the establishment of the On the Beach Group plc Growth Plan ("Growth Plan"). Resolution 3 concerns approving the amendment of the On the Beach Group plc Long Term Incentive Plan 2023 ("2023 LTIP Plan").

On the Beach shareholders will shortly receive a copy of the Notice. On the Beach shareholders who have elected to receive electronic communications from the Company will shortly receive a notification of availability of the Notice on the Company's website at https://www.onthebeachgroupplc.com/investor-centre/reports-and-presentations/2025.

In addition, the Notice will be available for inspection during normal business hours on any business day at Aeroworks, 5 Adair Street, Manchester M1 2NQ. Copies of the Notice and the full rules of the Growth Plan and amended rules of the 2023 LTIP Plan have also been submitted to the National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
