NEW YORK, September 15, 2022, Nexteligent Holdings, Inc. (OTC:NXGT)— An amendment to the Articles of Incorporation for Nexteligent Holdings, Inc. (the “Company”) was approved through shareholder vote to authorize the issuance of up to 2,300,000 shares of Series C Preferred stock and a summary of its rights (restricted for three years, no voting rights, conversion rights to common stock based upon a conversion price equal to the 30-day average closing price of the Company’s common stock prior to the date of the conversion and preference upon liquidation of the Company’s assets along with the Series B preferred).  Additionally, Louis Sanzaro was elected by a shareholder vote to fill the vacancy for the fifth seat on the Company’s Board of Directors.  Additionally, the Board of Directors approved the acquisition of IMS Experts (IMS). IMS is a BOC accredited and licensed Medicare Durable Medical Equipment (DME) provider with over 700 in network private insurance companies, including Medicare and workers comp DME claims. Founded in 2003, the company works with hospitals, Physician clinics and directly with patients to provide a comprehensive complement of DME products.
